49. AMENDMENT TO THE COMPETITION IMPRACTICABLE CONTRACT WITH CENTRAL ARIZONA SHELTER SERVICES Approve financial Amendment No. 6 to the Competition Impracticable Contract between Central Arizona Shelter Services (CASS) and Maricopa County, administered by its Human Services Department (MCHSD). The purpose of the Amendment is to address the following items: A. In accordance with Section I (General Provisions), Paragraph D (Amendments), and Section II (Special Provisions), Paragraph O (Contract Term and Option to Extend), extend the Agreement Termination Date from July 1, 2020, through June 30, 2021 (“Renewal Period No. 5). B. Add that the County shall provide the Contractor with $450,000 in fiscal year 2021 funding in return for the services provided under the Agreement during Renewal Period No. 5. C. Update the Points of Contact in the Agreement. D. Add the following new paragraph to Section I (General Provisions): WW. WRITTEN CERTIFICATION IN ACCORDANCE WITH A.R.S. § 35-393.01 If the Contractor engages in for-profit activity and has 10 or more employees, and if this Agreement has a value of $100,000 or more, then the Contractor certifies it is not currently engages in, and agrees for the duration of this Agreement not to engage in, a boycott of goods or services from Israel. This certification does not apply to a boycott prohibited by 50 U.S.C. § 4842 or a regulation issued pursuant to 50 U.S.C. § 4842. E. Add the following new paragraph to Section I (General Provisions): XX. FORCE MAJEURE 1. Neither Party shall be liable for failure of performance, nor incur any liability to the other Party on account of any loss or damage resulting from any delay or failure to perform all or any part of this Agreement if such delay or failure is caused by events, occurrences, or causes beyond the reasonable control and without negligence of the Parties. Such events, occurrences, or causes will include Acts of God/Nature (including fire, flood, earthquake, storm, hurricane, or other natural disaster), war, invasion, act of foreign enemies, hostilities (whether war is declared or not), civil war, riots, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, lockout, blockage, embargo, labor dispute, strike, and interruption or failure of electricity or telecommunication service. 2. Each Party, as applicable, shall give the other Party notice of its inability to perform and particulars in reasonable detail of the cause of the inability. Each Party must use best efforts to remedy the situation and remove, as soon as practicable, the cause of its inability to perform or comply. 3. The Party asserting Force Majeure as a cause for non-performance shall have the burden of proving that reasonable steps were taken to minimize delay or damages caused by foreseeable events, all non-excused obligations were substantially fulfilled, and the other Party was timely notified of the likelihood or actual occurrence which would justify such an assertion, so that other prudent precautions could be contemplated. F. Revise Section III (Work Statement and Compensation) for fiscal year 2021 and replace it in its entirety with the attached revised Section III (Work Statement and Compensation). G. Add that the Contractor shall provide the County with proof of occupancy by July 1, 2020. H. Add that unexpended funds from the Agreement and Amendment Nos. 1, 2, 3, 4, and shall revert to the County and not be available for Renewal Period No. 5. II. This Amendment No. 5 is subject to and incorporates the provisions of A.R.S. § 38-511 This Amendment shall be funded by the Human Services Department’s proposed Fiscal Year 2021 General Funds. 42. AMENDMENT TO THE COMPETITION IMPRACTICABLE CONTRACT WITH CENTRAL ARIZONA SHELTER SERVICES Approve financial Amendment No. 7 to the Competition Impracticable Agreement between Central Arizona Shelter Services (CASS) and Maricopa County, administered by its Human Services Department. The purpose of the Amendment is to address the following item s: A. Add that the County shall provide the Contractor an additional $200,000 for fiscal year 2021. The fiscal year 2021 funding availability is now increased from $450,000 to a not-to-exceed amount of $650,000. B. Revise Section III (Work Statement and Compensation) for fiscal year 2021 and replace it in its entirety with the attached revised Section III (Work Statement and Compensation). All other terms and conditions of the Agreement and Amendment Nos. 1, 2, 3, 4, 5 and 6 shall remain unchanged and in full force and effect as executed by the Parties. AMENDMENT TO THE COMPETITION IMPRACTICABLE AGREEMENT WITH CENTRAL ARIZONA SHELTER SERVICES Approve Amendment No. 10 to the Competition Impracticable Agreement between Central Arizona Shelter Services (CASS) and Maricopa County, administered by its Human Services Department. The purpose of this Contract is to provide funding to CASS for shelter operations and support services to eligible homeless individuals and families while assisting them to become self-reliant and decrease the need for public support services. The County and the Contractor collectively are referred to as the “Parties.” The purpose of the Amendment is to address the following items: A. Add that the County shall provide the Contractor with an additional $111,511 in General Funds. The Contractor shall provide 50 additional shelter beds utilizing the Contractor’s dayroom space for individuals experiencing homelessness. The period of funding availability for Amendment No. 10 shall begin on September 27, 2021 and extend through December 30, 2021. B. Revise Section III (Work Statement and Compensation) by adding the following paragraph: E. FUNDING – Amendment No. 10 Subject to the availability and authorization of funds, the anticipated funding for this Amendment No. 10 is for $111,511. C. Revise Section IV (ATTACHMENTS) to attach Attachment 4, Amendment No. 10 Operating Budget. The Agreement is amended to incorporate the changes contained in this Amendment No. 10. All other terms and conditions of the Agreement and previously approved Amendments shall remain unchanged and in full force and effect as executed by the Parties. Correct funding availability in Amendment No. 10 from September 27, 2021 through December 31, 2021. B. Add that the County shall provide the Contractor with an additional $153,470 in County General Funds. The Contractor shall continue to provide 50 additional shelter beds utilizing the Contractor’s dayroom space for individuals experiencing homelessness. Funding availability for Amendment 11 shall be retroactive from January 1, 2022 through March 30, 2022. C. Revise Section III (Work Statement and Compensation), Subparagraph E to address the funding availability and authorization of funds. D. Revise Section IV (Attachments) to attach Attachment 4, Amendment No. 11 Operating Budget. The Agreement is amended to incorporate the changes contained in this Amendment No. 11. All other terms and conditions of the Agreement and previously approved Amendments shall remain unchanged and in full force and effect as executed by the Parties.
