64. AMENDMENT TO THE IGA WITH REGIONAL PUBLIC TRANSPORTATION AUTHORITY Approve Amendment No. 4 to the Intergovernmental Agreement “Agreement” with Regional Public Transportation Authority (RPTA/Valley Metro) and Maricopa County (County) administered by its Human Services Department. RPTA and the County shall be referred to as the “Parties.” The purpose of the Amendment is to address the following: 1. The County shall provide RPTA with $282,677 for Paratransit Services and $384,413 for RideChoice Services, for a total of $667,090 for the first six months of the period July 1, 2022 through June 30, 2023. The amounts above are derived by using six months of last FY 2022 calculations. 2. The County shall pay the RPTA in (2) quarterly installments of $141,338.50 and $192,206.50 for Paratransit Services and RideChoice Services during the first six month period. Payment of invoices shall become due within thirty (30) calendar days after receipt of an invoice from RPTA. If at any time the costs of this program are projected to exceed the six month amount of $667,090, the Parties agree to develop a viable solution to keep the service to vulnerable populations operating. The parties agree to adjust the first six month FY 2023 projections once the FY 2022 reconciliation is completed. 3. If it is determined upon the annual reconciliation at year end that Member has underpaid its share of the actual cost of services all parties shall refer to Section 6 of the Master Agreement regarding annual reconciliation and availability of funds. 4. RPTA shall submit the final invoice no later than August 5, 2023. 5. Amends Schedule A and Schedule B. Funding for this Agreement shall be provided by the Human Services Department appropriated General Funds and Arizona Lottery funds. 74. AMENDMENT TO IGA WITH REGIONAL PUBLIC TRANSPORTATION AUTHORITY Approve the following actions: 1. Amendment No. 5 to the Intergovernmental Agreement “Agreement” with Regional Public Transportation Authority (RPTA/Valley Metro) and Maricopa County (County) administered by its Human Services Department. The purpose of the Agreement is for RPTA to provide transportation services to eligible Americans with Disabilities Act (ADA) Maricopa County residents that reside in unincorporated areas of the County. The County provides funds to RPTA for transportation services. RPTA and the County shall be referred to as the “Parties.” The purpose of the Amendment is to address the following: A. Replace the first paragraph of Attachment A (Annual Service Agreement) at page 16 of the Master Agreement, as was amended by Amendments One, Two, Three, and Four: The Annual Service Agreement outlines the specific obligations of both Parties and provides the Program Schedules that the County participates in for Fiscal Year 2022-23, beginning on July 1, 2022, and ending on June 30, 2023. The specific obligations will be identified in Section 1: RPTA Obligations, Section 2: Member Obligations, Section 3: Invoicing, Payments, and Reconciliation, and Section 4: Program Schedules that summarize the Programs that RPTA provides for County. B. Replaces Section 3.1 of the Master Agreement as follows, as was amended by Amendments One, Two, Three, and Four: 3.1 The County shall provide RPTA with $0.00 for Paratransit Services and $606,239 for RideChoice Services, for a total of $606,239 for the period July 1, 2022 through June 30, 2023. The County shall pay the RPTA in four (4) quarterly installments of $151,560 for RideChoice Services. Payment of invoices shall become due within thirty (30) calendar days after receipt of an invoice from RPTA. If at any time the costs of this program are projected to exceed the annual amount of $606,239, the parties will reduce service levels to stay within the budgeted amount. If it is determined upon the annual reconciliation at year end that Member has underpaid its share of the actual cost of services for the period of FY 2023, RPTA shall reference the original Master Agreement. C. The following schedules replace the schedules to Attachment A of the Master Agreement, as was amended by Amendments One, Two, Three, and Four: The attached Schedule A replaces Schedule A (Paratransit Services Cost Estimate and Service Overview) to Attachment A at page 21 thru page 27 of the Master Agreement, as was amended by Amendments One, Two, Three, and Four. The attached Schedule B replaces Schedule B (Ride Choice Cost Estimate and Service Overview) to Attachment A at page 35 thru page 40 of the Master Agreement, as was amended by Amendments One, Two, Three, and Four. D. The following is added to Attachment A (Annual Service Agreement) Section 3, Invoicing, Payments, and Reconciliation, at page 18, of the Master Agreement, as was amended by Amendments One, Two, Three and Four. 3.9 As it relates to Lottery monies, Maricopa County Authorizes RPTA to hold their portion of Arizona Lottery Funding (ALF) and apply it to their annual IGA. In addition, the ALF monies currently in possession of Maricopa County shall be remitted to RPTA for the same purpose. Authorization shall be obtained from the Deputy Director of the Human Services Department for the use of ALF monies in excess of the amounts shown in Schedule A and Schedule B. 3.10 Both Parties acknowledge that Maricopa County retains ownership of its ALF funding and is responsible for ensuring its use of ALF funds comply with the ALF program requirements. 3.11 Maricopa County acknowledges they will complete the ALF application annually within the prescribed deadlines and submit the report and expenditure certification, as described in the RPTA ALF application instruction and guidelines. 2. The County provides funds to RPTA for transportation services. RPTA and the County shall be referred to as the “Parties.” 2. The purpose of Amendment No. 6 is to address the following: A. Amend the term of the Agreement from June 30, 2023, through June 30, 2024. B. Replace the first paragraph of Attachment A (Annual Service Agreement) at page 16 of the Master Agreement, as was amended by Amendments One, Two, Three, Four and Five which addresses obligations of the Parties for fiscal year 2023 and 2024. C. Replace Section 3.1 of the Master Agreement to address the following: 1. The County shall provide an increase in County General Funds in the amount of $400,000 from $606,239 for a total amount of $1,006,239 for services provided from July 1, 2022, through June 30, 2023 (Fiscal Year 2023). 2. The County shall provide RPTA with $1,270,000 in County General Funds and $804,000 in Arizona Lottery Funds (ALF) for an estimate of 11,000 Paratransit trips and an estimated of 34,000 RideChoice trips for the period July 1, 2023, through June 30, 2024. 3. If it is determined upon the annual reconciliation at year end that the County has underpaid its share of the actual cost of services for the period of FY 2024, RPTA shall use the ALF monies to pay any remaining balances. D. Revise Attachment A (Annual Service Agreement) Section 3, Invoicing, Payments, and Reconciliation, at page 18, of the Master Agreement which addresses the following: 1. Amendment funding amount for fiscal year 2024 2. Quarterly invoices 3. Performance Date Reports 4. Training for County staff for RPTA’s Tableau server 5. Annual Reconciliation process 6. If at any time the net costs of this program are projected to exceed the annual amount of $2,074,040, the parties will reduce service levels to stay within the budgeted amount. D.
