43. LEASE AGREEMENT WITH SHADOW RIDGE ESTATES, LLC Approve and execute Lease Agreement (“Agreement”) L-7513 with Shadow Ridge Estates (Mesa), LP, California limited partnership, ("Lessor" or “Landlord”) and Maricopa County (“Lessee” or “Tenant”). The Lease is for the Maricopa County Human Services Department’s use of 41,917 rentable square feet (RSF) of office and storage space at 1001 W. Southern Avenue, Mesa (“Premises”); and authorize the Assistant County Manager and/or the County Real Estate Director to administer the Agreement. The purpose of this Agreement is for two Human Services Department programs ( Arizona@Work Maricopa County and the Early Education Division-Head Start administration) to be co-located in the same site. The Lessor shall deliver to County the Premises as a turn-key space on or before March 1, 2022. This Agreement shall commence after the County has: (1) accepted the condition of the Premises as suitable for the Permitted Use; (2) obtained all required approvals to open to the public (“Commencement Date”). The initial term of the Agreement is for 124 months (March 1, 2022 through June 30, 2032). The County will have two (2) five-year options to renew provided that County gives the Lessor a one hundred eighty-day (180) notice to renew and the first right to purchase the building should it become for sale. County, at County’s expense, shall have the right to fabricate and install panels on the monument sign, exterior signage on the top of the building and eyebrow signage on the first-floor level. The County will utilize two hundred forty-six parking spaces at no charge of which forty-one (41) will be reserved covered spaces at no charge to the County. In addition, the existing furniture can be used at no charge should County determine they want it. Such furniture can be purchased by County via a separate bill of sale in the amount of $10.00. Although County shall have access/usage of the Premises from 7am to 7pm Monday – Friday and 8am to 12pm Saturday; from time to time, Human Services may need to utilize the building after hours for Program related activities and Lessor agrees to allow such use upon receipt of the request form. If after hours HVAC is necessary, the parties agree that the rate for such usage shall be at $7 per hour per HVAC unit used, payable within thirty (30) days of receipt of invoice from Lessor. An annual estimate for this type of usage is one thousand ($1,000.00) dollars per year. The Commencement Date shall be memorialized by the Parties via execution of a Commencement Date Confirmation Form. This Agreement shall be effective upon full execution and delivery by the Parties (“Effective Date”). Upon notification from Lessor which shall be no less than thirty (30) days prior to the commencement date as hereinafter defined, Lessee and its employees, agents, contractors, subcontractors, engineers, consultants, suppliers and other representatives, and their respective employees, shall be permitted to enter and occupy the Premises, free of charge, for the purposes of inspecting same, and to install Lessee’s furniture, fixtures and equipment (including, but not limited to telephone, communications and computer equipment, wiring and cabling, and badge readers) (the “Early Occupancy Period”); provided, however, that Lessee shall not interfere with Lessor’s performance of any remaining work in the Premises during such Early Occupancy Period. All of Lessee’s covenants and obligations under this Agreement other than the payment of Rent (defined in § 3.1) shall apply during the Early Occupancy Period. Rent for the Premises shall be at an annual full-service gross rate of $974,570.25 plus 2.7% rental tax for the term of the Agreement. Supervisory District: 2 (C-22-22-169-X-00)
