47. DEVELOPER AGREEMENT WITH FOUNDATION FOR SENIOR LIVING Approve a financial Developer Agreement (“Agreement”) between Foundation for Senior Living (“Developer”) and Maricopa County (the “County”) administered by its Human Services Department. The purpose of the Agreement is for the Developer to make infrastructure improvements and construct 12 energy-efficient, single-family detached affordable homes in the Casa del Sol subdivision consists of residential lots on an infill site located at 439 W. Palm Drive, Wickenburg, Arizona 85390. All homes will be reserved for first-time homebuyers (as defined by HUD) with household incomes at or below 80% of the area median income. The County will provide the Developer with Program Income earned through the U.S. Department of Housing and Urban Development (HUD) HOME Investment Partnerships Program funds in the amount not-to-exceed $288,000. Agreement term shall be retroactive to October 1, 2021 and will expire August 31, 2024. Per Section 2 (Special Provisions), Paragraph 19.0 (General Conditions), Subparagraph 19.1, also request authorization for the Chairman of the Board of Supervisors to approve and execute upon the recommendation of the Human Services Department Director and Legal Counsel to make changes within the general scope of the Agreement on behalf of the County through Administrative Change Orders. Administrative Change Orders shall be approved and fully executed by the Chairman of the Board of Supervisors and the authorized representative for the Developer. Change Orders/Administrative Changes will receive legal review and will be filed with the Clerk of the Board’s office upon full execution. FY2022: $288,000. Supervisory Districts 4. 52. AMENDMENT TO THE DEVELOPER AGREEMENT WITH FOUNDATION FOR SENIOR LIVING Approve Amendment No. 1 to the Developer Agreement (“Agreement”) between Foundation for Senior Living (“Developer”) and Maricopa County (the “County”) administered by its Human Services Department. The purpose of the Agreement is for the Developer to make infrastructure improvements and construct 12 energy-efficient, single-family detached affordable homes in the Casa del Sol subdivision in Wickenburg, Arizona. The Developer and the County shall be referred to as the “Parties.” The purpose of the Amendment is to address the following: A. Revise Section 1 (General Provisions) to address the following paragraph: 1. Paragraph 5.0 (INSURANCE) to address the insurance process. B. Revise Section 2 (Special Provisions) to address the following paragraph: 1. Paragraph 19.0 (GENERAL CONDITIONS) to address the General Conditions process. C. Revise Section 3 (Work Statement) to address the following: Revise the Work Statement in the Original Agreement, Paragraph 2.0 (SCOPE OF WORK) by deleting in its entirety and replace with “2021 Work Statement”, attached and incorporated into the Agreement. The Developer to provide GAP financing, down payment and closing cost assistance to eligible buyers earning 80% or less of the Area Median Income (AMI), for up to (10) HOME-assisted properties to be sold in the Casa del Sol Affordable housing subdivision in Wickenburg Arizona. A minimum of two (2) of the HOME-assisted properties will be sold to households earning 65% or less of AMI. The Agreement is amended to incorporate the changes contained in this Amendment No. 1. All other terms and conditions of the Agreement shall remain the same and unchanged and in full force and effect as executed by the Parties. Amendment No. 1 shall be effective upon approval and signature by both Parties. There are no Expenditures associated with Amendment No. 1. Supervisory Districts 4. (C-22-22-181-X-01)

EARLY TERMINATION OF DEVELOPER AGREEMENT WITH FOUNDATION FOR SENIOR LIVING (FSL HOLDING PROPERTIES) Approve early termination of a Developer Agreement with Foundation for Senior Living (FSL Holding Properties) (“Developer”). FSL has requested the Agreement be rescinded because FSL has not been able to utilize $288,000 in HOME Investment Partnerships Program funds due to market conditions, construction costs, and funding restrictions. FSL is continuing with the project utilizing different funding sources. The unexpended funds will be reallocated to another HOME eligible project. On October 6, 2021, the financial Agreement between Maricopa County and FSL was fully executed. The funds for the Agreement were provided through U.S. Department of Housing and Urban Development (HUD) HOME Investment Partnerships Program (Program Year 2021).
