41. AMENDMENT TO USE MANAGEMENT AGREEMENT WITH EPR PARKS, LLC Approve and execute Amendment Four to the Use Management Agreement (“Agreement”) between Maricopa County (“County”) and EPR Parks, LLC, as Successor in Interest to Harvest Family Entertainment – Arizona, LLC (“Concessionaire”) to revise development phases, revise the legal description of Parcel 2, and update contact information. This concession is known as Hurricane Harbor – Phoenix (“Complex”), located at Adobe Dam Regional Park and is currently managed by Six Flags Entertainment Corporation. The Amendment sets forth the definition for each of the development phases. Phase I and II have been completed to the County’s satisfaction. The Phase III proposed development is within the new legal description for Parcel 2 (3.5 acres of land as illustrated in Exhibit B) to allow Concessionaire to construct a fenced employee parking area that will support the recreational waterpark and free up additional parking for customers. All development costs will be at the expense of Concessionaire. The activities for this concession will be located in Supervisory District #4. (C-30-08-034-1-08)

45. AMENDMENT FIVE TO USE MANAGEMENT AGREEMENT WITH EPR PARKS, LLC Approve and execute the Amendment Five to the Use Management Agreement (“Agreement”) between Maricopa County (“County”) and EPR Parks, LLC, as Successor in Interest to Harbor Family Entertainment – Arizona, LLC (“Concessionaire”) to revise the development completion date for Phase III of the Complex to no later than March 30, 2027. All development costs will be at the expense of Concessionaire. This concession is known as Six Flags Hurricane Harbor – Phoenix ("Complex"), located at Adobe Dam Regional Park and is currently managed by Six Flags Entertainment Corporation. All other terms and conditions of the Agreement shall remain in full force and effect. This Amendment Five shall be effective upon execution. Term of the Agreement is through October 1, 2033, with one option to renew for twenty-five (25) years. If Concessionaire fails to exercise the renewal option, the term of will expire on September 30, 2033. This item is in Supervisory District 3. (C-30-08-034-1-09)
