COMMERCIAL MANAGEMENT CONCESSIONS AGREEMENT Approve the Commercial Management Concessions Agreement between Maricopa County and Sport Chalet, Inc. in order to manage and operate a commercial concession within the Maricopa County Regional Park System. Term of the Agreement is from the Effective Date of September 1, 2010, after approval by the Board of Supervisors, through December 31, 2011 with ten one-year renewal options. 49. AMENDMENT TO COMMERCIAL MANAGEMENT CONCESSIONS AGREEMENT WITH SPORT CHALET INC Approve Amendment One to the Commercial Management Concessions Agreement (C-30-11-007-3-00) entered into between Maricopa County and Sport Chalet, Inc on August 18, 2010 in order to manage, operate and maintain a commercial concession within the Maricopa County Regional Park System. Amendment One exercises three of the one-year Renewal Options and makes some administrative changes to the Agreement. Term of the Agreement is, upon approval and execution by the Board of Supervisors from August 18, 2010 (“Effective Date”) through December 31, 2014 with seven (7) one (1)-year renewal options remaining. Guaranteed revenue for Maricopa County Parks and Recreation Department (Department 300) (Fund 240) throughout the term of the Agreement is $150. (C-30-11-007-3-01)

16. AMENDMENT TO COMMERCIAL MANAGEMENT CONCESSIONS AGREEMENT WITH SPORT CHALET, INC. Approve Amendment Two to the Commercial Management Concessions Agreement between Maricopa County and Sport Chalet, Inc., entered into on August 18th, 2010. Amendment Two allows for administrative changes and automatic adoption of the remaining one (1) year renewal options unless either party provides written notice to the other. If such a notice is given, the agreement shall expire on December 31st of the respective contract year. (C-30-11-007-3-02)

98. TERMINATION OF COMMERICAL MANAGEMENT CONCESSIONS AGREEMENT WITH SPORT CHALET, INC Approve the termination of the Commercial Management Concessions Agreement (C-30-11-007-3-00) entered into between Maricopa County and Sport Chalet, Inc. (Concessionaire) August 18, 2010, as amended (Agreement), which authorized the Concessionaire to manage, operate and maintain a concession within the Maricopa County Regional Park System, and authorize Parks and Recreation Department staff to give formal notice to Concessionaire of the Agreement termination. This termination is based upon the Concessionaire’s filing of a bankruptcy petition. Termination is per Section 6.2 Default, insolvency, Remedies; Subsection 6.2.1.C. “If (i) a petition to have Concessionaire adjudicate a bankrupt or other proceeding under any Federal or State law relating to bankruptcy, bankruptcy reorganization, insolvency or relief of debtors is filed or instituted by Concessionaire.” Termination will be effective on December 31, 2017. All activities for this concession were located in Supervisory District 4. (C-30-11-007-3-03)
