COMMERCIAL MANAGEMENT CONCESSIONS AGREEMENT Approve the Commercial Management Concessions Agreement between Maricopa County and Cave Creek – Adventure Boot Camp, LLC in order to manage, operate and maintain a commercial concession within the Maricopa County Regional Park System. Term of the Agreement is from the Effective Date, the date approved by the Board of Supervisors, through December 31, 2011 with ten (10) one (1)-year renewal options. Guaranteed revenue for Maricopa County Parks and Recreation Department (Department 300) (Fund 241) throughout the term of the Agreement is $150.00. (C-30-11-013-3-00)

47. AMENDMENT TO COMMERCIAL MANAGEMENT CONCESSIONS AGREEMENT Approve Amendment No. 1 to the Commercial Management Concessions Agreement between Maricopa County and Cave Creek – Adventure Boot Camp, LLC (C-30-11-013-3-00) dated September 15, 2010. Amendment One amends portions of the Agreement pertaining to collection of the Park Entrance Fee as relating to Concessionaire yoga class participants. This amendment will allow yoga class participants to enter the park for participation in the yoga classes without payment of the park entrance fee which would be in addition to the yoga fees. Payment of the class fee and park entrance fee by the participants made the program cost prohibitive. There is no financial impact. The original concession agreement requires the Concessionaire to pay a predetermined amount for all revenue collected from participants. (C-30-11-013-3-01)

AMENDMENT TO COMMERCIAL MANAGEMENT CONCESSIONS AGREEMENT WITH CAVE CREEK ADVENTURE BOOT CAMP, LLC Approve Amendment Two to the Commercial Management Concessions Agreement (C-30-11-013-3-00) entered into between Maricopa County and Cave Creek Adventure Boot Camp, LLC on September 15, 2010 in order to manage, operate and maintain a commercial concession within the Maricopa County Regional Park System. Amendment Two exercises three (3) of the one (1) - year Renewal Options and makes some administrative changes to the Agreement. Term of the Agreement is, upon approval and execution by the Board of Supervisors from September 15, 2010 (“Effective Date”) through December 31, 2014 with seven (7) one (1)-year renewal options remaining. Guaranteed revenue for Maricopa County Parks and Recreation Department (Department 300) (Fund 241) throughout the term of the Agreement is $150. (C-30-11-013-3-02)

87. TERMINATION OF COMMERICAL MANAGEMENT CONCESSIONS AGREEMENT WITH CAVE CREEK ADVENTURE BOOT CAMP, LLC Approve the termination of the Commercial Management Concessions Agreement (C-30-11-013-3-00) entered into between Maricopa County and Cave Creek Adventure Boot Camp, LLC (Concessionaire) on September 15, 2010, as amended (Agreement), which authorized the Concessionaire to manage, operate and maintain a concession within the Maricopa County Regional Park System, and authorize Parks and Recreation Department staff to give formal notice to Concessionaire of the Agreement termination. This termination is based upon the nonperformance in operating the concession activities and failure to provide proof of insurance. Termination is per Section 2.7 Termination for Cause, Sub-section 2.7.3 “Unsatisfactory performance on the part of the Concessionaire or failure to comply with the provisions of this Agreement.” Termination will be effective on December 31, 2017. All activities for this concession were located in Supervisory District 2. (C-30-11-013-3-04)
