48. PURCHASE AGREEMENT AND ESCROW INSTRUCTIONS Approve and execute a Purchase Agreement and Escrow Instructions (PSA) between Maricopa County (County), the Town of Cave Creek (Town), and Desert Foothills Land Trust, Inc, an Arizona nonprofit corporation (DFLT), for the purchase of 29.9 acres of real pr operty as attached to PSA as Exhibit A (Properties), from DFLT, and authorize the Chairman to execute all other documents required to purchase the Properties without further Board action provided the terms are in substantial conformance with the PSA and ap proved by legal counsel. Maricopa County Assistant County Manager and Real Estate Director for Maricopa County are authorized to administer the PSA. The County and Town will contribute equal refundable Purchase Deposit in the amount of $362,500 each in to a non-interest-bearing account with an escrow agent. Upon the close of escrow, funds will be made available to DFLT only for the purchase of the Properties. The County and the Town, upon obtaining title to the Properties from DFLT, shall record a Conse rvation Easement (Conservation Easement) on the Properties in favor of DFLT, a form of which is attached to PSA as Exhibit C. This land to be purchased is in Supervisory District 2 (C-30-23-012-X-00)
