36. SPECIAL LICENSE AGREEMENT FOR RETAIL SPACE AT METROCENTER MALL Approve and execute Special License Agreement No. P50138 between Maricopa County Animal Care and Control and Douglas P. Wilson, solely, in his capacity as Receiver for certain property of Metrorising AMS Owner, LLC, Licensor, for approximately 5,435 square feet of retail space located at MetroCenter Mall, 9617 N. Metro Parkway West, Phoenix, AZ 85051. The term of the license will be for one year at a cost for utilities estimated at $950.00 per month. Either Licensor or Licensee may terminate this License by giving the other a prior five day written notice. (C-79-10-151-3-00)

36. SPONSOR AGREEMENT AND STATEMENT OF TERMS WITH PETSMART CHARITIES, INC. Approve and execute Sponsor Agreement and Statement of Terms #1 between PetSmart Charities, Inc., and Maricopa County allowing Maricopa County Animal Care and Control to accept donations from PetSmart Charities, Inc. for the Maricopa County Metrocenter Mall Adoption Center in exchange for Sponsor advertising at the mall retail space. The term of this Agreement shall be for the duration of the Maricopa County Metrocenter Mall Adoption Center or until termination of this Agreement by either party and shall commence on November 17, 2010. PetSmart Charities, Inc. has agreed to purchase and install the sign for the Maricopa County Metrocenter Mall Adoption Center and pay for $22,186.33 of the pre-opening construction costs in exchange for the PetSmart Charities, Inc. logo on the sign and at least one area (114” x 72”) on the wall within the retail space. PetSmart Charities, Inc. asks all promotional material, press releases, Web pages, and other communications about the mall adoption space recognize PetSmart Charities, Inc. as the sponsor. 37. AMENDMENT TO SPECIAL LICENSE AGREEMENT WITH METRORISING AMS OWNER, LLC Approve Amendment No. 1 to an Agreement between Metrorising AMS Owner, LLC (54964) and Maricopa County through the Animal Care & Control in the not-to-exceed amount of $147.78. The purpose of this amendment is to change the term of the Agreement and assess utility sales tax. This amendment is effective from September 17, 2010 to March 16, 2012. All other terms and conditions of the Agreement remain in full force and effect. This amendment changes the term of the Agreement to be September 17, 2010 through March 16, 2012, extending the term period six months in which Maricopa County may occupy free retail space inside the MetroCenter Mall to operate Under One Woof, a Pet Adoption Center. The original term of the Agreement was July 1, 2010 through June 30, 2011. Maricopa County Animal Care and Control pays $950 monthly for electricity used in the operation of Under One Woof. An assessment of $24.70 per month, prorated, will be added to cover the utility sales tax initially paid by the Licensor. Maricopa County did not take physical possession of the space until September 17, 2010. (C-79-10-151-3-01)

27. AMENDMENT TO SPECIAL LICENSE AGREEMENT WITH CARLYLE ER METRO, LLC FOR RETAIL SPACE IN METROCENTER MALL Approve and execute Amendment No. 03 to Lease No. P-50138 with Carlyle ER Metro, LLC for the property located at 9617 N Metro Parkway, Suite 1116, Phoenix, AZ 85051. The purpose of this amendment is to extend the term of the Lease three months. This amendment is effective from 03/01/2014 to 05/31/2014. The License Agreement will extend the term three months to commence retroactively from March 1, 2014 and expire May 31, 2014. Animal Care and Control shall pay a monthly fee of $974.70 to defray the utility cost of the leased space and an assessment of $24.70 sales tax per month. (C-79-10-151-3-03)
