64. AMENDMENT TO LEASE AGREEMENT WITH HTA-THUNDERBIRD MEDICAL, LLC Approve Administrative Correction to action taken on July 25, 2007 to Lease Agreement No. L-7357 under C-86-05-566-4-01 to amend the Lease Agreement. This action was simply to note a change in the Landlords name and address and did not constitute an amendment to the Lease. Also, approve and authorize the Chairman to execute, Amendment No. 1 to Lease Agreement L-7357 between HTA-Thunderbird Medical, LLC, a Delaware limited liability company (f/k/a NNN Healthcare/Office REIT Thunderbird Medical, LLC), as successor in interest to 5410 & 5422 W. Thunderbird Road, LLC, an Arizona limited liability company, and PEA Enterprises, LLC, a California limited liability company, as tenants in common, and Lessee, Maricopa County, for approximately 4,292 square feet of replacement premises at 5422 West Thunderbird Rd., Suites 3, 4 & 5, Glendale, Arizona. At the request of the landlord, this Lease Amendment No. 1 replaces the existing leased premises of the Thunderbird WIC facility with a new leased premises at the landlord’s property. The tenant improvement required for the replacement premises and the relocation expense will be at no cost to the County. The term for the subject lease is extended to sixty (60) months and shall commence upon substantial completion of the replacement premises and as further attested at Exhibit “B” (Commencement Date Confirmation) of the lease. 65. AMENDMENT TO LEASE AGREEMENT WITH HTA-THUNDERBIRD MEDICAL, LLC, LESSOR FOR OFFICE SPACE FOR WIC SERVICES Approve and execute Amendment No. 2 to Lease Agreement No. L-7357 with HTA-Thunderbird Medical, LLC, Lessor, for 4,292 square feet of office/clinic space located at 5422 W. Thunderbird Road, Glendale, Arizona. This amendment extends the term of the lease for an additional three (3) years and two (2) months, to commence August 1, 2016 and expire September 30, 2019. The rental rate will remain at $22.52 per square foot with two (2) months gratis; month 1 and 14. The lease rate will increase 3% annually. Rental taxes will be calculated as appropriate. The County may terminate the Lease at the end of any fiscal year for non-availability of funds. (C-86-05-566-4-03)

TERMINATION OF LEASE AGREEMENT BY AND BETWEEN HTA-THUNDERBIRD MEDICAL LLC, LESSOR AND MARICOPA COUNTY, LESSEE Approve the termination of Lease Agreement (L-7357) by and between HTA-Thunderbird Medical LLC (Lessor) and Maricopa County (Lessee) for use of property at 5422 W. Thunderbird Road, Glendale, Arizona, due to non-appropriation of funds and authorize Real Estate Division staff to give formal notice to Lessor of the Lease termination. Section 20 of the Lease allows the County the option to terminate the Lease at the end of any fiscal year for non-appropriation of funds without penalty. 28. REVISED TERMINATION OF LEASE L-7357 WITH HTA-THUNDERBIRD MEDICAL LLC Approve a revised termination date for Lease Agreement (L-7357) by and between HTA-Thunderbird Medical LLC (Lessor) and Maricopa County (Lessee) for use of property at 5422 W. Thunderbird Road, Glendale, Arizona, and authorize Real Estate Department staff to give formal notice to Lessor of the revised Lease termination date. Federal funding for this WIC clinic location will end on September 30, 2017. Therefore, in accordance with Section 21 of the Lease, which allows the County the option to terminate the Lease at the end of any fiscal year for non-appropriation of funds without penalty, the Board of Supervisors approved the termination of the Lease and authorized Real Estate staff to notify the landlord. Subsequent to the notice sent to the Landlord, the State of Arizona Department of Health Services (ADHS) committed to provide the Program with funding that will allow this location to stay open through the 2018 Federal fiscal year. Now that funding is available, the termination will be postponed one year and be effective on, or before, September 30, 2018. (C-86-05-566-4-06)

RESCIND AND APPROVE AMENDMENT TO LEASE AGREEMENT WITH HTA-THUNDERBIRD MEDICAL, LLC, LESSOR Rescind the early termination action of C-86-05-566-4-05 and termination date change C-86-05-566-4-06 and approve and authorize the Chairman execute Amendment No. 3 to Lease Agreement No. L-7357 with HTA-Thunderbird Medical, LLC, Lessor, for 4,292 square feet of office/clinic space located at 5422 W. Thunderbird Road, Glendale, Arizona. The Arizona Department of Health Services (ADHS) has agreed to provide additional funding to allow for a continuance of operations from October 1, 2018 to September 30, 2019 at this location. Therefore the purpose of Amendment No. 3 is to rescind the termination notice previously given to vacate the facility and to continue with the Agreement as intended. As per Section 2 of Amendment No. 2, the rental rate will increase 3% to $21.22 per square foot, $83,486.59 for the year plus rental tax with one month (month 12) gratis, as previously defined and agreed to in the Lease. The County may terminate the Lease at the end of any fiscal year for non-availability of funds. (C-86-05-566-4-07)
