85. LEASE AGREEMENT WITH WARREN HALL FOR CLINIC AND OFFICE SPACE Approve and execute new Lease Agreement No. L-7421 with Warren Hall, Lessor, for 4,936 square feet of clinic and office space located at 430 N. Dobson, Suites 111 and 112, Mesa Arizona. The lease term shall be for five (5) years and three (3) months and shall commence on commencement date reflected at Exhibit “C” of the Lease. Lessee has the option to renew the lease for one (1) additional three (3) year term with a 90-day written notice to Lessor. Lessee shall pay the cost for all utilities and janitorial services. This lease may be terminated for non-appropriation of funds and is subject to A.R.S. 38-511. This action was indorsed by the County Facility Review Committee at its August 2011 meeting. 43. AMENDMENT TO LEASE AGREEMENT WITH WARREN HALL FOR USE OF OFFICE SPACE Approve, and authorize the Chairman to execute Amendment No. 1 to Lease Agreement (L-7421) between Warren Hall, Lessor and Maricopa County, Lessee, for approximately 4,936 square feet of office space at 430 N. Dobson Road, Mesa, AZ. This amendment will extend the term of the lease 5 years to commence February 1, 2017 and expire January 31, 2022. The initial rate will increase 3% to $11.02 per square foot with 3% annual escalations, plus rental tax. The County shall pay for all utilities and janitorial services. The County may terminate the agreement at the end of a fiscal year for non-appropriation of funds. (C-86-12-031-1-02)

TERMINATION OF LEASE AGREEMENT BY AND BETWEEN WARREN HALL, LESSOR AND MARICOPA COUNTY, LESSEE Approve the termination of Lease Agreement (L-7421) by and between Warren Hall (Lessor) and Maricopa County (Lessee) for use of property at 430 North Dobson Road, Mesa, Arizona, due to non-appropriation of funds and authorize Real Estate Division staff to give formal notice to Lessor of the Lease termination. Section 16.2 of the Lease allows the County the option to terminate the Lease at the end of any fiscal year for non-appropriation of funds without penalty. Federal funding for this WIC clinic location will end on September 30, 2017. The termination will be effective on, or before, September 30, 2017. (C-86-12-031-1-03)

88. REINSTATEMENT AND AMENDMENT OF LEASE WITH WARREN HALL Approve and authorize the Chairman to approve amendment two to Lease Agreement L-7421 which will 1.) rescind the termination for Lease Agreement (L-7421) by and between Warren Hall (Lessor) and Maricopa County (Lessee) for use of property 430 North Dobson Road, Suites 111 and 112, Mesa, Arizona, and approve and 2.) Modify the term and accept a non-monetary donation of six (6) months free rent in the amount of $27,468.84. Lessee agrees to pay as rent, in equal monthly installments, the sums as follows: Months Rate Monthly Semi-Annual 1-6* $0 $0 $0 7-12 $11.35 $4,668.63 $28,011.80 plus rental tax * As a donation to Lessee, Lessor will allow Lessee to continue occupancy of the Premises without rent payments for a period of six (6) months, October 1, 2017 through March 31, 2018. Federal funding for this WIC clinic location ends on September 30, 2017. The County gave notice to the Lessor to terminate the Agreement pursuant to the terms of the Agreement for non-appropriation of funds (C-86-12-031-1-03). Subsequent to the notice sent to Lessor, the Lessor has offered to provide County with six (6) month’s free rent, October 1, 2017 through March 31, 2018 (months 1-6). The State of Arizona Department of Health Services (ADHS) has committed to provide the Program with additional funding that will allow this location to stay open through the 2018 Federal fiscal year, paying for six (6) months of rent plus rental tax from April 1, 2018 through September 30, 2018 (months 7-12). With funding now available, the termination will be rescinded and the lease term, as amended, will commence on October 1, 2017 and expire September 30, 2018. The amendment also includes options to renew for three (3) one (1) year terms at the following rates should funding be available or reinstated: Months 13-24 $11.69 per SF, annually $57,701.84 plus rental tax Months 25-36 $12.04 per SF, annually $59,429.44 plus rental tax Months 37-48 $12.40 per SF, annually $61,206.40 plus rental tax (C-86-12-031-1-04)
