54. RFP CONTRACT WITH FALCON PRACTICE MANAGEMENT, LLC FOR MEDICAL BILLING OUTSOURCING SERVICES Approve a Public Health Request for Proposal (PH RFP) Contract 15-003 between Maricopa County (County), a political subdivision of the State of Arizona, through its Department of Public Health (MCDPH) and Falcon Practice Management, LLC, (Contractor) for the purchase of medical billing outsourcing services. The term of the contract beginning October 8, 2014 and ending September 7, 2016. The cost of the services are not expected to exceed $40,000 per year of the contract and a start-up fee of $1,000. The County may, at its option and with the agreement of the Contractor, renew the term of this Contract for additional terms up to a maximum of five (5) years, (or at the County’s sole discretion, extend the contract on a month-to-month basis for a maximum of six (6) month after expiration). Falcon Practice Management, LLC was a successful respondent to PH RFP Contract 15-003 on September 11, 2014. (C-86-15-029-3-00)

58. AMENDMENT TO RFP CONTRACT WITH FALCON PRACTICE MANAGEMENTS, LLC FOR BILLING OUTSOURCING SERVICES Approve an Amendment No. 1 to RFP Contract between Falcon Practice Management, LLC and Maricopa County by and through its Department of Public Health (MCDPH), Healthcare for the Homeless (HCH) Program to insert additional travel terms to Exhibit B, 2.0 Scope of Work, page 15 of 19 as follows: 2.1.18 Contractor shall be entitled to make up to 3 trips to Phoenix during the first year of the contract (10/8/14-10/7/15) for the purpose of training MCDPH employees on process if requested by MCDPH. 2.1.19 Contractor shall be entitled to make up to 2 additional trips in subsequent years of the contract for the purpose of training MCDPH employees on process if requested by MCDPH. 2.1.20 All travel shall be subject to and adhere to the OFFICE OF PROCUREMENT SERVICES CONTRACTOR TRAVEL AND PER DIEM POLICY located in Exhibit C of the original contract. 2.1.21 All travel shall be booked and paid for by the Contractor. MCDPH shall reimburse Contractor upon submission of acceptable invoice and copies of all receipts. All other terms and conditions of the original contract and all amendments shall remain in full force and effect. 77. AMENDMENT TO RFP CONTRACT WITH FALCON PRACTICE MANAGEMENT LLC FOR MEDICAL BILLING OUTSOURCING SERVICES Approve Amendment No. 2 to RFP Contract between Falcon Practice Management, LLC and Maricopa County by and through its Department of Public Health (MCDPH), Healthcare for the Homeless (HCH) Program, as follows: Exhibit A, Pricing Sheet, is replaced with a new Pricing Sheet to allow for payment of Consultation Services. These services will be billed at the rate of $125.00 an hour and are not expected to exceed an average of 2 hours per month. The total cost of all services is not expected to exceed the original agreed amount of $40,000.00; Exhibit B, Scope of Work, is amended as follows: 2.0, 2.1, 2.1.22, Contractor consultation may be utilized for insurance and billing questions for the Division of Clinical Services. The Business Associate Agreement is made a part of this contract. All other terms and conditions of the original contract, Exhibits, Attachments, and Amendments shall remain in full force and effect. Falcon Practice Management was a successful respondent to PH RFP contract 15-003 on September 11, 2014. The purpose of the Business Associate Agreement is to comply with the requirements of the Health Insurance Portability and Accountability Act of 1996 (42 USC §1320d et seq.) (“HIPAA”), the Health Information Technology for Economic and Clinical Health Act (“HITECH”) of the American Recovery and Reinvestment Act of 2009 (ARRA), which made changes to various provisions of HIPAA, including updating the definition of a business associate and imposing additional obligations and responsibilities on business associates by implementing privacy and security regulations set forth at 45 CFR Parts 160 and 164 (the “HIPAA Rules”) and any applicable state confidentiality laws. AMENDMENT TO LEASE AGREEMENT WITH UNIVERSITY CENTRAL CENTER LLC FOR USE OF OFFICE SPACE Approve and execute Second Amendment to Lease Agreement, No. L-7251, with University Central Center, LLC, as successor in interest to University Central Center Corp., DBA Pollack Plaza. This Amendment 2 will extend the triple net lease term 1 year commencing on April 1, 2016 and expiring on March 31, 2017. The lease rate during the 12 month rental term shall remain at $16.50 a square foot for the 2,520 square Public Health WIC Clinic for an annual cost of $41,580.00 plus rental tax. (C-86-05-915-4-03)

67. AMENDMENT TO RFP CONTRACT WITH FALCON PRACTICE MANAGEMENT, LLC FOR BILLING OUTSOURCING SERVICES Approve an Amendment No. 4 to the RFP Contract between Falcon Practice Management, LLC and Maricopa County by and through its Department of Public Health (MCDPH). Procurement rules require a new RFP be issued at this time. In order to allow for that, approve an extension of three (3) months to the term of the Agreement. 1. Contract Term: 1.1 This Contract is extended for a term of three (3) months, beginning on the 8th day of September, 2019 and ending the 7th day of December, 2019. The BAA remains effective and a part of this contract. All other terms and conditions of the original contract and all amendments shall remain in full force and effect. Falcon Practice Management, LLC, was a successful respondent to PH RFP contract 15-003 on September 11, 2014. (C-86-15-029-3-04)
