45. AMENDMENT TO LICENSE AGREEMENT P-50311 WITH CITY OF SCOTTSDALE Approve and authorize the Chairman to execute Amendment No. 1 to License Agreement No. P-50311 between the City of Scottsdale, Licensor, and Maricopa County, Licensee, for 448 square feet for a Public Health, Women and Infant Children (WIC) clinic and office space located at 6535 East Osborn Road, Scottsdale, AZ; and appoint Licensee Contract Administrator to be both the Deputy County Manager for Maricopa County or the Real Estate Director for Maricopa County and each, individually and separately, are given the authority and charged with the responsibility for proper administration of this Agreement as amended. The WIC program provides assistance to qualified low-income women and children of nutritional risk including providing supplemental foods, education, community referrals and other preventive services including, but not limited tom oral health screening for low-income pregnant, breast feeding and non-breast feeding post-partum women and for infants and children up to five years of age found to be at nutritional risk. Amendment 1 will, upon mutual agreement, allow the Licensee Contract Administrator and the City Contract Administrator to change the Use Area or Times of Use by executing an Amended Exhibit “A”. The current Agreement expires October 31, 2020. All other terms and conditions remain the same. Either Party may terminate the Agreement with 30-days’ Notice to the other. AMENDMENT NO. 2 TO WIC LICENSE AGREEMENT P-50311 WITH CITY OF SCOTTSDALE Approve Amendment No. 2 to renew License Agreement No. P-50311 between the City of Scottsdale, Licensor, and Maricopa County, Licensee, for 448 square feet for a Public Health, Women and Infant Children (WIC) clinic and office space located at 6535 East Osborn Road, Scottsdale, AZ. This Renewal will extend the term of the Agreement by one year, to expire October 31, 2021. County pays a utility reimbursement which will increase in this amendment by 4.8523%, to $159.71; and, the lease rate will increase as previously defined by $1.00 per square foot to $298.67 per month, for a total monthly payment of $458.38 plus rental tax. AMENDMENT TO WIC LICENSE AGREEMENT P-50311 WITH CITY OF SCOTTSDALE Approve and execute Amendment 3 to License Agreement No. P-50311 as a renewal between City of Scottsdale (“City”) and Maricopa County (“County” or “Licensee”) for the licensed Use Area located at 6535 East Osborn Road, Scottsdale for 143 square feet. This Amendment will extend the term of the Agreement by one year, to begin November 1, 2021 and expire October 31, 2022. County pays a utility reimbursement which will increase in this amendment by 4.8523%, to $107.25 monthly; and, the use fee will increase as previously defined by $1.00 per square foot to $50.98 per month, for a total monthly payment of $158.23 plus rental tax. All other terms and conditions remain the same. Either Party may terminate the Agreement with 30-days’ notice to the other. The City may terminate the Agreement upon two City working days’ prior written notice if there is a threat to health and safety. (C-86-18-022-M-04)

ADMINISTRATIVE ACTION TO REVOCABLE LICENSE AGREEMENT Approve administrative action granting the Real Estate Director the authority to modify License Agreement P50311 (“Agreement”) between the City of Scottsdale and Maricopa County for a WIC clinic located at 6535 East Osborn Road in Scottsdale. The existing Use Area for the County’s WIC clinic has been relocated within the City-owned property and reduced from 143 to 130 square feet resulting in a revised annual Use Fee. The revised Use Fee, effective July 1, 2022, will be $1,651.76 per year plus rental tax. The Real Estate Director sha ll have the authority to administer the changes related to the Use Area and Use Fee. The licensed property is in Supervisorial District No. 2 (C-86-18-022-M-05)
