75. TRADEMARK LICENSE AGREEMENT WITH CENTERS FOR DISEASE CONTROL AND PREVENTION Approve a Trademark License Agreement between the Centers for Disease Control and Prevention/ATSDR (PHS) and the Maricopa County Department of Public Health (Licensee) (MCDPH) outlining the terms under which the Licensee can use the CDC's trademarks. MCDPH is granted a non-exclusive, non-transferable, royalty-free license to use, reproduce, and display the CDC’s trademarks for non-commercial use in connection with jointly developed public health and safety messages, as specified in Attachments A and B. Any use of the trademarks outside of these guidelines requires written consent from PHS. The agreement's term is 36 months from August 13, 2024, and can be terminated by either party under certain conditions. The agreement also stipulates various standards for the use of the trademarks, emphasizing quality and adherence to CDC guidelines. Licensee must seek approval for any content that will use the trademarks, and such content must not be used for political or commercial endorsements, nor can it be defamatory, obscene, or otherwise objectionable. Trademark ownership remains with PHS, and MCDPH is prohibited from registering any trademarks similar to those of PHS. In terms of termination, either party can terminate the agreement with notice if the other party is in breach or if legal claims arise regarding the trademark's use. Upon termination, MCDPH must cease all use of the trademarks and confirm the destruction of any material bearing them. Any disputes will be initially appealed to the designated PHS official before pursuing other remedies. The agreement also contains clauses for indemnification, assignment, partial invalidity, and the entire agreement, ensuring a comprehensive understanding of the terms between both parties.
