45. LEASE AGREEMENT BETWEEN AG-POP CS 3838 OWNER, LLC AND MARICOPA COUNTY Approve and authorize the Chairman to execute financial Lease Agreement L-7480 between Maricopa County (Lessee) and AG-POP CS 3838 OWNER, LLC, an Arizona registered limited liability company (Lessor) for exclusive use of 15,659 square feet (sf) of office space located at 3800 North Central Avenue, Phoenix, Arizona. This full service lease agreement is for the lease of space within 3800 North Central Avenue, Phoenix which consists of approximately 10,439 sf within Suite 300 and 5,220 sf in Suite 1220 (15,659 total sf). The County has the right of early occupancy upon execution of the lease. The term of the lease will commence on December 1, 2018, and expire on December 31, 2021 at a rate of $21 per square foot with an annual .50 per square foot escalation and will include one free month’s rent. County parking for 85 employee spaces included gratis (which includes 31 spaces for County overnight vehicles). The County shall have the right to extend the term of the lease for up to two (2) additional one (1) year terms. There are no early termination provisions in the lease except in the case that the Lessor is in default, A.R.S. § 38-511 and non-appropriations of Funds. Lessor is to provide turnkey tenant improvements at no additional cost to the County. (C-88-19-001-1-00)

ADMINISTRATIVE CHANGE TO RECOGNIZE NEW OWNER AND LESSOR UNDER LEASE L-7480 Approve an administrative change to Lease Agreement No. L-7480 to recognize IP BPG City Square, LLC, an Arizona registered Delaware limited liability company, as the new property owner and successor Lessor with regards to the office space lease at 3800 N. Central Avenue, Suites 300 and 1220, Phoenix, Arizona. Pursuant to Section 10 of Lease Agreement L-7480, approved by the Board of Supervisors via C-88-19-001-1-00, the County received formal notice on March 21, 2019 that IP BPG City Square, LLC, is the new property owner and successor Lessor of the Lease Agreement via Trustee’s Deed as recorded with the County Recorder on March 11, 2019 via instrument number 2019-0166571. All rent payments and notices required under the lease shall be sent to current property manager now on file. All other terms and conditions of the subject Lease Agreement remain unchanged. AMENDMENT TO LEASE AGREEMENT WITH IP BPG CITY SQUARE, LLC Approve and authorize the Chairman to execute Amendment No. 1 to Lease Agreement L-7480 between Maricopa County (Lessee) and IP BPG City Square, LLC, a Delaware limited liability company authorized to do business in Arizona (Lessor), for leased space located at 3800 North Central Avenue, Phoenix, Arizona. As part of the Agreement negotiations, and due to time constraints, Lessor agreed to construct certain additional tenant improvement work on Lessee’s behalf after the lease commenced (“Additional Work”). This Amendment memorializes the completion of the Additional Work and allows for reimbursement to Lessor for said work, and adds provisions to allow for future alterations. (C-88-19-001-1-02)
