PURPOSE The purpose of this policy is to establish procedures for elections to The Industrial Development Authority of the County of Maricopa (IDA) and identify expectations for an intergovernmental agreement. II. AUTHORITY Arizona Revised Statute §35-705 states that the directors of an industrial development authority shall be elected by the governing body of the authorizing municipality or county and that the authority shall have not less than three nor more than nine directors. The governing body may remove a director at any time, with or without cause. III. APPLICATION This Policy applies to Directors of the IDA and Maricopa County appointed staff assigned to work with the IDA. IV. DEFINITIONS A. Appointing Authority: An elected official, the single administrative or executive head of a Department/Special District, or the designated representative authorized to act in this capacity. B. Board of Directors: The governing body of the Maricopa County IDA, elected by the Maricopa County Board of Supervisors. C. Industrial Development Authority (IDA): The Maricopa County IDA, as authorized by Arizona Revised Statute §35-702. D. Nominating Committee: A three-person committee comprised of the current Chair of the Board of Supervisors or designee, the District 5 Supervisor or designee, and the County Manager. V. POLICY A. Election and tenure of office 1. The IDA Board of Directors shall be elected by the Board of Supervisors and shall hold overlapping terms such that no more than three directors’ terms end in the same year. 2. The IDA Board shall be comprised of a total of nine directors selected as follows: a. Each member of the Board of Supervisors shall nominate one person to the IDA Board. All nominations must be voted on by the Board of Supervisors at a formal meeting. b. The remaining four directors shall be at-large appointments nominated by the Nominating Committee. When selecting nominees, the Nominating Committee shall consider each potential nominee’s knowledge, background, and contributions to the areas of economic development, workforce development, and responding to the needs of underserved populations. c. There shall be no more than two directors from any one supervisory district serving on the IDA simultaneously. B. Vacancies 1. If a vacancy occurs in the Board of Directors other than by the normal expiration of a term, the vacancy shall be filled by election by the Board of Supervisors for the unexpired portion of the term pursuant to Section V.A of this policy with the following exception: a. If the vacating director is one of two directors serving a current term as a nominee of a member of the Board of Supervisors, then the vacancy shall be filled via the at-large appointment process as described in V.A.2.b. Directors appointed by this method will serve the unexpired portion of the term of the departing director. C. Intergovernmental Agreement 1. The County Manager or designee shall prepare an Intergovernmental Agreement between the Board of Supervisors and the IDA Board of Directors for their joint consideration. The IGA shall include the following: i. An inventory of all services provided by the County in support of the IDA such as human resources. ii. The amount, method, and frequency of reimbursement for services listed in Section C.1.i. iii. If IDA employees are employees of the County, a hold-harmless provision in the event of malfeasance or misconduct by IDA employees. iv. Expectations for information sharing, to include presentations, reports, and briefings by the IDA Board of Directors or IDA staff. D. Policy Sunset 1.
