RESOLUTION NO. 76-26 
 
A RESOLUTION OF THE MAYOR AND COUNCIL OF THE CITY OF BUCKEYE, 
ARIZONA, APPROVING AN ACCEPTANCE AND SERVICE AGREEMENT WITH 
TRILLIUM LAND COMPANY, LLC, A DELAWARE LIMITED LIABILITY 
COMPANY, OR DESIGNEE FOR WATER INFRASTRUCTURE AND RELATED 
APPURTENANCES AND ASSOCIATED REAL PROPERTY, SUBJECT TO 
APPROVAL OF THE FINAL FORM OF THE AGREEMENT BY THE CITY 
ATTORNEY. 
  
WHEREAS, Trillium Land Company, LLC, a limited liability company, (“Master 
Developer”) owns certain land located in the City of Buckeye, Arizona (“City”) and is developing 
the land in connection with that certain project known as Floreo at Teravalis (“Development”); 
and 
 
WHEREAS, Master Developer, or Designee, is required by the City Code and the 
Development Agreement between the Parties dated April 1, 2025 to (i) design, construct and 
install all water infrastructure necessary to serve the Development, (ii) dedicate and convey to 
the City, at no cost to the City, such infrastructure and any privately-owned real property and/or 
easements necessary to own, operate and maintain such infrastructure, and (iii) provide a 
warranty(ies) for such infrastructure; and 
 
WHEREAS, Master Developer has caused the construction of certain water public 
infrastructure and related appurtenances (“Infrastructure”), as more specifically identified in the 
Acceptance and Service Agreement, and the Master Developer and the City desire that the 
Infrastructure and associated real property and easements also identified in the Acceptance and 
Service Agreement, be dedicated/conveyed to, and accepted by, the City; and 
 
WHEREAS, Master Developer, or Designee, and the City desire to enter into an 
Acceptance and Service Agreement setting forth the rights and obligations of the Parties 
concerning the conveyance of the Infrastructure and associated real property and easements to 
the City. 
 
BE IT RESOLVED by the Mayor and Council of the City of Buckeye, Arizona, as follows:  
  
           Section 1.      The recitals above are hereby incorporated as if fully set forth herein.  
  
Section 2.      The Acceptance and Service Agreement for Water Infrastructure and 
Related Appurtenances is hereby approved, subject to the approval of the final form by the City 
Attorney, substantially in the form and substance on file with the City Clerk. 
 
Section 3.       The Mayor, City Manager, City Attorney, and City Clerk are hereby 
authorized and directed to execute and deliver all documents and other necessary or desirable 
instruments connected with the Acceptance and Service Agreement and to take all steps 
necessary to carry out the purpose and intent of this Resolution.
