For good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, VENTANA RANCH COMMUNITY ASSOCIATION, an Arizona non-profit corporation
(“Grantor”), hereby bargains, sells, conveys and transfers to the CITy OF BUCKEYE, an Arizona
municipal corporation (“Grantee’’), all of Grantor's right, title and interest in and to the wells, tanks,
booster stations, well equipment and machinery, well engines and well pumps, water storage,
pumping and treatment facilities, water transmission pipelines, related infrastructure and
equipment located in, on and under the property located County of Maricopa, State of Arizona, as
more particularly described on Exhibit A attached hereto and made a part hereof.

IN WITNESS WHEREOF, Grantor has executed this Bill of Sale as of the /Z* “day of
