SPECIAL WARRANTY DEED

For good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, VENTANA RANCH COMMUNITY ASSOCIATION, an Arizona non-profit corporation
(“Grantor”), hereby grants, sells, and conveys to the CIry OF BUCKEYE, an Arizona municipal
corporation (“Grantee”), that certain real property described on Exhibit A attached hereto and
incorporated herein by this reference (the “Land”), together with (a) all improvements located thereon;
and (b) all rights, privileges, appurtenances, hereditaments, reversions, and remainders pertaining to
the Land, including, without limitation, all of Grantor’s rights, if any, to strips and gores, streets, alleys,
easements, rights-of-way, public ways, and other rights appurtenant, adjacent, or connected to the Land

(collectively, the “Property”);

SUBJECT TO: current taxes and general assessments; patent reservations; all covenants,
conditions, restrictions, reservations, easements, encumbrances, liens, declarations, and other matters
of record; any and all conditions, easements, encroachments, rights-of-way, or restrictions that a
current physical inspection, or current accurate ALTA/NSPS survey, of the Property would reveal; and
the applicable zoning and use regulations of any municipality, county, state, or the United States
affecting the Property;

AND GRANTOR hereby binds itself and its successors and assigns to warrant and defend the
title to the Property against all of the acts of Grantor and no other, subject to the matters set forth above.
