SPECIAL WARRANTY DEED
For the consideration of the sum of Ten Dollars ($10.00) and other good and valuable
consideration received, Westpark Commercial Land Investments, LLC, an Arizona limited
liability company, Warner Street Land Investments, LLC, an Arizona limited liability
company and Turner Road Land Investments, LLC, an Arizona limited liability company
(collectively, ““Grantor”), as to the real property and improvements owned by such entities do
hereby grant and convey: (i) to KEMF WP 2.3, LLC, an Arizona limited liability company, the
real property situated in Maricopa County, Arizona described on Exhibit A attached hereto, (ii) to
KEMF WP 3 East, LLC, an Arizona limited liability company, the real property situated in
Maricopa County, Arizona described on Exhibit B attached hereto, (iii)to KEMF WP
Commercial, LLC, an Arizona limited liability company, the real property situated in Maricopa
County, Arizona described on Exhibit C attached hereto, and (iv) to KEMF WP 3 West, LLC,
an Arizona limited liability company, the real property situated in Maricopa County, Arizona
described on Exhibit D attached hereto (collectively, the “Property”). KEMF WP 2.3, LLC,
KEMF WP 3 East, LLC, KEMF WP Commercial, LLC, and KEMF WP 3 West, LLC, are
collectively referred to as “Grantee”.
TOGETHER WITH all right, title and interest of Grantor, if any, in (i) all buildings,
structures and improvements located thereon, including, without limitation, all irrigation ditches,
gates, valves, pumps, tanks, and wells; (ii) all appurtenances, hereditaments, easements, rights-
of-way, reversions, remainders development rights, well rights, water rights, and air rights; (iii)
all oil, gas, and mineral rights not previously reserved; (iv) any rights of Grantor to any adjoining
strips or gores of property and any land lying within the bed of any adjoining street, highway, or
waterway abutting the real property; and (v) any other rights or privileges appurtenant to such
real property.
SUBJECT ONLY TO those matters set forth on Exhibit “E” attached hereto and
incorporated herein by this reference (the “Permitted Exceptions’).
AND GRANTOR hereby binds itself and its successors and assigns to warrant and defend
the title against all of the acts of Grantor and no other, subject only to the Permitted Exceptions.
Furthermore, Grantor hereby assigns, transfers, and conveys to Grantee any and all rights,
remedies, and warranties acquired by Grantor from Grantee’s predecessors in title.
