RESOLUTION NO. 70-25 
 
A RESOLUTION OF THE COUNCIL OF THE CITY OF BUCKEYE, ARIZONA 
RATIFYING AND APPROVING (1) THAT CERTAIN FIRST AMENDMENT TO 
AIRPORT PROPERTY LEASE AGREEMENT BETWEEN THE CITY OF 
BUCKEYE AND HELI CARRIER USA, LLC, AND (2) CONSENT TO 
ASSIGNMENT AND ASSUMPTION OF PROPERTY LEASE AGREEMENT 
BETWEEN HELI CARRIER USA, LLC, AS ASSIGNOR, AND SPUR-N-ROTOR, 
INC., AS ASSIGNEE. 
 
 
WHEREAS, the City of Buckeye, Arizona (“City”) and Heli Carrier USA, LLC, an Arizona 
limited liability company (“Heli Carrier”), as successor to Spur-N-Rotor, Inc., a Nevada 
corporation (“Spur-N-Rotor”), entered into a lease agreement effective January 1, 2019 
(“Agreement”) regarding certain premises located at the Buckeye Municipal Airport, 3000 South 
Palo Verde Road, Buckeye, Arizona 85326, more particularly described as the Southeast 
Section of the Quad Hangar and offices consisting of approximately 4,117 square feet; and 
 
 
WHEREAS, the City and Heli Carrier desire to enter into the First Amendment to the 
agreement to, among other matters, renew the lease for an additional term of two (2) years 
pursuant to Section 2.2 of the Agreement, and to modify certain provisions; and 
 
 
WHEREAS, pursuant to that certain Assignment and Assumption of Airport Property 
Lease Agreement (“Assignment”), Heli Carrier desires to assign its Agreement to Spur-N-Rotor, 
which Spur-N-Rotor has agreed to accept; and 
 
 
WHEREAS, the City has agreed to consent to the Assignment pursuant to Section 9 of 
the Agreement. 
 
 
BE IT RESOLVED BY THE MAYOR AND COUNCIL OF THE CITY OF BUCKEYE, 
ARIZONA, as follows: 
 
 
Section 1. 
The recitals above are hereby incorporated as if fully set forth herein. 
 
 
Section 2. 
The (1) First Amendment to the Agreement and (2) Assignment are 
hereby approved in substantially the form and substance that accompany this Resolution. 
 
 
Section 3. 
The Mayor, City Manager, City Clerk and City Attorney are hereby 
authorized and directed to take all steps necessary to carry out the purpose and intent of this 
Resolution.
