COOPERATIVE CONTRACT PURCHASE ADDENDUM (CCPA) 
BETWEEN 
THE CITY OF BUCKEYE 
AND 
RESA POWER, LLC 
CONTRACT NO. 2025249 
CHANGE ORDER # 1 
THIS CHANGE ORDER # 1 (this “Change Order”) is entered into as of 
 
between the City of Buckeye, an Arizona municipal corporation (the “City”) and RESA Power, 
LLC, a Delaware limited liability company (the “Contractor”). This Change Order modifies certain 
sections of Contract No. 2025249 (the “Contract”), with those sections not expressly modified 
remaining in full effect pursuant to their terms.  
RECITALS: 
The City and Contractor entered into Contract No. 2025249 dated February 3, 2025. Pursuant to 
which Contractor was to provide Medium & High Voltage Switch and Automated Transfer Control 
Maintenance and Repair with an expiration subject to the terms of the City of Tempe Contract and 
a not-to-exceed amount of $
,000.00. 
CONTRACT CHANGES: 
1.
Contract Price, is amended by increasing the not-to-exceed amount by $765,000.00
from $35,000.00 to $800,000.00. 
ADDITIONAL PROVISIONS: 
Except as amended herein, all provisions of the Contract remain in full force and effect. 
In the event of any conflict or discrepancy between the terms of this Change Order, the 
Contract, and any other contract documents, the documents shall govern in that order.   
This Change Order may be canceled pursuant to the provisions of A.R.S. § 38-511.
