Docusign Envelope ID: BD231A5D-C651-4A96-91C3-C1D61FBB2253 LETTER OF AGREEMENT BETWEEN MARICOPA COUNTY AND THE CITY OF BUCKEYE FOR THE DEDICATION AND ANNEXATION OF RIGHT-OF-WAY DEVELOPMENT: Roosevelt Street ROADWAY NAME: Roosevelt Street — between Jackrabbit and 194 Avenue RIGHT-OF-WAY: as legally described in Exhibit A attached hereto and incorporated herein by reference; and as shown on Exhibit B attached hereto and incorporated herein by reference. The Intergovernmental Agreement between Maricopa County (County) and the City of Buckeye (City) for Coordination of Roadway Standards was approved by the Buckeye City Council on November 1, 2022, approved by the Maricopa County Board of Supervisors on December 7, 2022 and recorded under Recorder No.20220890371 (Master Agreement). MCDOT and Buckeye are collectively referred to in the Master Agreement as the Parties. Accordingly, the Parties enter into this Letter of Agreement (LOA) for coordination of roadway standards for the right-of-way described above subject to the following: 1. All of the terms and conditions of the Master Agreement; and 2. The respective terms required in Section 10 of the Master Agreement as set out below: a. The subject right-of-way/roadway will be designed and constructed to City standards. b. The City commits to annexation of the subject right-of-way/roadway no later than one year from the date of plan approval and accepts all liability associated with such right-of-way/roadway as well as all maintenance and operation responsibilities upon approval of this LOA. The City will assume responsibility for plan review, permitting, inspections, and traffic control for the subject right-of-way/roadway. The City shall ensure that the appropriate liability insurance and project bonding (assurance) are in place. The insurance shall list Maricopa County as “Additional Insured” and regardless of the form, the project bonding shall require written confirmation of the satisfaction of Maricopa County that project requirements have been met and the assurance may be released. . The County will assume responsibility for plan review, permitting, inspections, and traffic control for the roadways outside the area to be annexed. The City shall not be responsible or liable for roadways in the County outside of the area to be annexed; and 3. Exhibit A to this LOA - legal description of ROW; and 4. Exhibit B to this LOA - depiction of the legal description; and 5. The County will accept the dedication by the developer of additional right-of-way for the roadway(s) described above.
