C-18-13-027-3-01 P50228 FIRST AMENDMENT TO REVOCABLE LICENSE AGREEMENT BETWEEN MARICOPA COUNTY AND MARICOPA COUNTY REGIONAL SCHOOL DISTRICT RECITALS A. Maricopa County, a political subdivision of the State of Arizona (“Licensor”) and Maricopa County Regional School District (“Licensee”), (collectively, “Parties”) are Parties to that certain Revocable License Agreement dated March 13, 2013 (“Agreement”). Licensor owns certain Property and pursuant to the Agreement, Licensee uses the Premises for Licensee’s Permitted Use. B. The term of the Agreement expires March 12, 2023. C. The Parties now mutually desire to enter into this First Amendment (“Amendment”) to the Agreement to: (a) extend the term; (b) amend notices section (c) add administrative authority provisions; (d) provide language for counterpart electronic signatures; and (e) add conflict language. AGREEMENT NOW THEREFORE in consideration of the foregoing and other good and valuable consideration, receipt and sufficiency of which is hereby acknowledged, Licensor and Licensee agree to amend the Agreement as follows: 1. The Recitals, by this reference, are hereby incorporated into this Amendment. 2. Capitalized terms used in this Amendment without definition shall have the meanings assigned to such terms in the Agreement unless the context expressly requires otherwise. 3. Exhibit “C” to the Agreement is hereby amended to add the following: The Term of the Agreement is hereby extended through March 12, 2033. The Agreement may be extended upon the agreement of both Parties for one (1) additional term of five (5) years on the same terms and conditions. 4. This Agreement is subject to the provisions of A.R.S. § 38-511, which are incorporated herein by this reference. 5. Section VIII to the Agreement is hereby amended to include a second paragraph that reads as follows: The Assistant County Manager for Maricopa County and/or the Real Estate Director for Maricopa County shall administer this Agreement, as amended. 6. Section XI of the Agreement is hereby amended to modify the Licensor address as follows: LICENSOR: Maricopa County Real Estate Department Attn: Director 2801 West Durango St. Phoenix, AZ 85009 C-18-13-027-3-01 P50228 7. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument. Electronic signatures shall have the same force and effect as original signatures. 8. The Parties to this Amendment have chosen attorneys employed by the Civil Services Division of the Maricopa County Attorney’s Office (Civil Services Division) to act as their attorneys to review this Amendment. In so doing, by their signature below, each party acknowledges that it is aware that the Civil Services Division will represent both parties to this Amendment, and each party expressly waives any conflict created thereby. 8. This Amendment shall not become effective until it is executed by Maricopa County. 9. The foregoing paragraphs contain all the changes made by this Amendment. All other terms and conditions of the Agreement remain the same and in full force and effect.
