Docusign Envelope ID: B780C491-2243-8FD8-834D-B978D89F6C0B AMENDMENT NO. 2 WIRED TELECOMMUNICATIONS LICENSE AND RIGHT-OF-WAY USE AGREEMENT This Amendment No. 2 between the City of El Mirage, an Arizona Municipal Corporation (“City”) and Wyyerd Connect LLC, a Delaware limited liability company, (“Licensee” or “Parties”) agree to amend the Agreement dated October 19, 2021, and as amended by Amendment No. .1 dated November 4, 2025, (collectively the “License”) granting a license for wired telecommunication facilities in the City right-of-way, is hereby entered into and shall be effective on October 20, 2026 (the “Effective Date”). RECITALS: 1. The City and Licensee entered into the License to allow the Licensee to install, operate, maintain, and repair cable containing bundles of multiple optical fibers within the public right-of-way for the purpose of providing telecommunication services. 2. The License contains a five-year term commencing October 19, 2021, and terminating October 19, 2026, unless extended by the mutual written consent of the parties. 3. The Parties desire to amend the License to allow renew this Agreement for its first renewal term of five years and increase the Annual Fee Payment Amount. NOW, THEREFORE, in consideration of the foregoing premises and mutual promises and agreements of the Parties, the City and Licensee agree to amend the License as follows: 1. To extend the term of this Agreement pursuant to Paragraph 1.3 Renewal for its first renewal term from October 20, 2026 through October 19, 2031. 2. To increase the Annual Fee Payment Amount as contemplated in paragraph 4.3 Annual Fee Payment Amount shall be One Dollar and Eleven Cents ($1.11) per linear foot of permitted or installed trench in the ROW.
