AMENDMENT 2
TO
AGREEMENT
BETWEEN
MARICOPA COUNTY
ADMINISTERED BY ITS
HUMAN SERVICES DEPARTMENT
AND
COMMUNITY LEGAL SERVICES
I.
Maricopa County (“County”) administered by its Human Services Department and
Community Legal Services, a Community-Based non-profit law firm (“Contractor”),
entered into a financial agreement, on or about August 27, 2021. The Agreement term is
July 1, 2021 through June 30, 2023. The purpose of the Agreement is to provide legal
assistance and representation to Maricopa County tenants impacted by the COVID-19
Pandemic who are facing eviction due to nonpayment of rent. The County has provided
the Contractor with $2,600,000 in American Rescue Plan Act (ARPA) and Coronavirus
State and Local Fiscal Recovery Funds under Assistance Listing Number (ALN) 21.027.
The County and the Contractor collectively are referred to as the “Parties.”
The Parties fully executed Amendment No.1 on or about October 19, 2022. The
Amendment revised paragraph 3.0 (Contractor Responsibilities) and paragraph 4.0
(County Responsibilities). Paragraph 42.0 was added to address Uyghur Forced Labor.
II.
The Parties agree to enter into this Amendment No. 2 to amend the Agreement as follows:
A.
Extend the Agreement term from June 30, 2023, through June 30, 2024.
B.
The County shall provide the Contractor with $323,561 for the extension term
through June 30, 2024. Funding is provided under ARPA ALN 21,027.
C.
Revise paragraph 3.0 (Contractor Responsibilities), by removing in its entirety and
replacing with the following:
3.0
CONTRACTOR RESPONSIBILITIES
3.1
The Contractor shall provide legal assistance to eligible tenants,
residing in Maricopa County, outside the City of Phoenix. Eligible
tenants must be at risk of eviction due to nonpayment of rent.
3.1.1 The Contractor and the County shall work together to create
a direct client referral process between the County and the
Contractor. The County shall provide a copy of its
assistance agreement with the landlord, the tenant’s
request to be contacted by the Contractor, and the tenant’s
signed authorization, if applicable, permitting the Contractor
to share the tenant’s personal information and the status or
outcome of the referral or case, to the Contractor. If
authorized by the tenant, the Contractor shall provide the
tenant’s personally identifiable information and status or
outcome of the referral or case to the County.
3.2
It will be the Contractor’s sole discretion to determine the
appropriate level of legal assistance in each case. The Contractor’s

staff will perform a conflict of interest check for all tenants for whom
some level of legal assistance is determined appropriate.
3.2.1 Contractor shall provide quarterly eviction and tenant(s)
rights virtual or in-person training for tenants receiving or
have received services from the County.
3.3
Contractor services to eligible tenants shall include:
3.3.1 Legal information to tenant(s) about tenant rights and
landlord responsibilities.
3.3.2 Legal information to tenant(s) about the eviction process,
including any applicable federal laws, rules, or requirements
for public and subsidized housing.
3.3.3 Legal advice to tenant(s) regarding the tenant’s specific
case.
3.3.4 Legal representation for tenant(s) in negotiations with
landlords, if deemed appropriate.
3.3.5 Legal representation for tenant(s) at risk of eviction if
deemed appropriate.
3.3.6 Subject to Section 3.2, provide legal assistance to aid
tenant(s) in achieving lease concessions and obtaining
stipulated judgments.
3.4
The Contractor shall provide legal assistance described in 3.3
during normal hours of operation: 8:00 AM to 5:00 PM, Monday thru
Friday. Additionally, services may be provided on-site through
Maricopa County Justice Court venues.
3.5
The Contractor may provide legal assistance to Maricopa County
tenants, at risk of eviction, in Maricopa County Superior Court in
cases for which the Superior Court has jurisdiction.
3.5.1 Contractor will negotiate with the landlord to vacate
judgments. If allowed under Court rules and appropriate,
the Contractor will file or assist the tenants to file motions to
vacate eviction judgments on behalf of tenant(s) served by
Maricopa County Community Services Division whose
judgments have been satisfied.
3.6
The Contractor shall submit monthly performance reports. The
performance reports shall include:
3.6.1 The number of tenants, by city, that received legal advice or
information.
3.6.2 The number of tenants, by city, the Contractor attempted to
assist/represent for each court.
3.6.3 The number of tenants, by city, for which the Contractor
negotiated with the landlord and the success rate of those
negotiations. Success shall be defined as ensuring the
tenant(s) were not evicted as a result of the negotiation.
3.6.4 The number of tenants, by city, that the Contractor
represented in court and the success rate. Success shall be
defined as ensuring the tenant(s) were not evicted for that
case.
3.6.5 Such other information as the Contractor may deem
appropriate during each reporting period.
3.6.6 Monthly reports will be due no later than fifteen (15) days
after the end of that month.

3.6.7 Clients identifying claim status information for updates and
outcomes.
3.7
Any funds not disbursed by Contractor by June 30, 2024, unless
revised through an administrative change order, shall be returned
to County not later than August 1, 2024. Similarly, if any grantee
fails to cash a check or otherwise returns funds to Contractor, such
funds shall be returned to County not later than August 1, 2024.
3.8
Access for County and its auditors for not less than two (2) calendar
years from the date of the report to all records and materials
retained by Contractor relating to the Program, with such access to
be granted during normal business hours on reasonable notice of
not less than forty-eight hours. Such records and materials may be
redacted by Contractor to the extent necessary to comply with its
ethical obligations under Arizona law, including confidentiality and
attorney-client responsibilities.
3.9
Provision for change to scope to meet requirements of any updated
guidance from US Treasury, Inspector General or other required
oversight associated with the ARPA funds.
III.
Section II above contains all the changes made by this Amendment No. 2. All other terms
and conditions of the Agreement not amended by this Amendment No. 1 shall remain
unchanged and in full force and effect as executed by the Parties.
IV.
The Parties have authorized the undersigned to execute this Amendment No. 2 on their
behalf, and it shall be effective upon approval and signature by the Parties.
