RESOLUTION NO. 6039 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHANDLER, ARIZONA, APPROVING A LICENSE AGREEMENT BETWEEN UNION PACIFIC RAILROAD COMPANY (“UPRR”) AND THE CITY OF CHANDLER (“CITY”) TO CONSTRUCT, OPERATE, AND MAINTAIN CITY-OWNED FIBER OPTIC WIRELINE IN UPRR RIGHT OF WAY LOCATED AT THE SOUTH SIDE OF WARNER ROAD APPROXIMATELY 640 FEET EAST OF NEVADA STREET; AND AUTHORIZING THE MAYOR TO EXECUTE THE LICENSE AGREEMENT; AND AUTHORIZING THE CITY MANAGER OR DESIGNEE TO EXECUTE SUCH OTHER DOCUMENTS AS NECESSARY TO GIVE EFFECT TO THE LICENSE AGREEMENT. WHEREAS, the City seeks to construct, operate, and maintain 815 feet of four two-inch conduits to connect the City outside plant fiber network (“City Fiber Network”) in UPRR right of way located at the south side of Warner Road approximately 640 feet east of Nevada Street (“UPRR Warner Road right of way”); and WHEREAS, UPRR will grant the City the right to construct, operate, and maintain the City Fiber Network at the UPRR Warner Road right of way under the terms and conditions set forth in the Wireline Crossing Agreement attached as Exhibit A. NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Chandler, Arizona, as follows: Section 1. That the City is authorized to enter into and pay the funds necessary for the Wireline Crossing Agreement with UPRR, substantially in the form attached as Exhibit A. Section 2. That the Mayor is authorized to execute and deliver the Wireline Crossing Agreement on behalf of the City. Section 3. That the City Manager or designee is authorized to execute such other documents as necessary to give effect to the Wireline Crossing Agreement. Section 4. That the Wireline Crossing Agreement and all other legal documents required for its implementation shall be in a form approved by the City Attorney.
