SUBJECT: First Amendment to the General Services Agreement with Lyft, Inc. for Supplementary
Transit Services

PURPOSE:
To request approval of the First Amendment to the General Services Agreement between the City of Tolleson
and Lyft, Inc. for supplementary transit services.
BACKGROUND:
On June 14, 2022, the City entered into a General Services Agreement with Lyft, Inc. The Agreement allows the
City to use Lyft's enterprise transportation solutions to administer, track, and manage transportation services.
The selected program features include Lyft Pass and the Lyft Concierge Dashboard.
The original Partnership Program Form established a one-year initial term with automatic twelve-month
renewals unless either party provided notice of non-renewal. It also limited the City's aggregate payments to
$400,000 per year.
DISCUSSION:
The First Amendment replaces the renewal provision with a fixed term that begins on the last signature date
and continues through June 30, 2027, unless terminated as otherwise provided in the Agreement. It also
increases the annual aggregate amount from $400,000 to an amount not to exceed $650,000 per year.
For any partial fiscal year within the term, the aggregate compensation limit will be prorated based on the
number of days in that partial fiscal year. All other terms and conditions of the Agreement remain in full force
and effect.
BUDGET IMPACT:
The Amendment increases the annual contractual spending authority by $250,000, from $400,000 to an
aggregate amount not to exceed $650,000 per year. Actual expenditures will be based on services utilized
during the term, and the compensation limit will be prorated for any partial fiscal year.
RECOMMENDATION:
Approve the First Amendment to the General Services Agreement with Lyft, Inc. and authorize the City Manager
to execute and deliver said Amendment.
