in any cloud upon the Credits’ title or any material change in the Credits’ title.
4. ADWR Transfer Forms and Additional Actions. Not later than the earlier of five
(5) business days after the (a) Approval Date or (b) the Outside Approval Date (and provided the
Agreement has not previously been terminated), Grantor shall execute and submit to ADWR the
form(s) attached hereto as Exhibit “B” provided by ADWR, along with either a) the original
Certificate or b) a Statement of Lost Certificate of Grandfathered Right for the Certificate, and
take whatever other action is necessary to sell, assign, transfer, convey and pledge to Grantee all
of Grantor’s right, title, and interest in and to the Credits. Grantor shall initially pay any filing and
administrative fees due to ADWR in connection with the transfer and conveyance of the Credits,
and Grantee shall reimburse Grantor for those fees through its payment of the Purchase Price.
Grantor shall promptly notify Grantee in writing after completing its obligations under this Section,
and provide Grantee with an ADWR date-stamped copy of the form(s) attached as Exhibit “B” that
it filed.
5. Payment of Purchase Price. Within four (4) business days of the date that Grantor
completes its obligations under Section 4 above and notifies Grantee, but in no event later than
October 30, 2026, Grantee shall pay to Grantor the allotted Purchase Price for the Credits in
immediately available funds, which may include certified check or cashier’s check payable to
Circle G Pegasus, LLC, or wire transfer, provided wiring information is timely supplied by Grantor.
6. Covenants of Grantee. Grantee shall not convey, pledge, use, or encumber the
Credits in any way until: (i) it has paid the Purchase Price to Grantor; and (ii) the Date of
Conveyance has occurred.
7. Rejection or Invalidation of Transfer. Should ADWR reject or otherwise
invalidate the proposed sale, assignment, transfer, conveyance or pledge of Grantor’s Credits to
Grantee, including but not limited to, if ADWR does not allow for the Certificate to be split

from the Certificate to be retained by Grantor, then Grantee shall not be obligated, responsible or
liable for any payment whatsoever to Grantor, Grantee or Grantor shall have the right to terminate
this Agreement, and in the event of any such termination, Grantor shall retain all of the Credits
and shall immediately return the Purchase Price to Grantee.
8. AS-IS. By proceeding with the purchase of the Extinguishment Credits, Grantee
acknowledges that Grantee has had an opportunity to make its own examination, inspection and
investigation of the Credits, including, without limitation, all conditions which may affect the value
of the Credits, as Grantee deems necessary or appropriate. Except for the representations,
warranties, and covenants expressly stated in this Agreement (the “Express Representations”),
Grantor shall not be responsible or liable to Grantee for any conditions or other matters affecting
the Credits, as Grantee is purchasing the Credits, except for the Express Representations, AS-IS,
WHERE-IS and WITH ALL FAULTS, and not in reliance on any representations or warranties
except for the Express Representations. Other than with respect to claims arising from Grantor’s
default in the performance of the Express Representations, Grantee hereby fully releases Grantor,
the direct and indirect owners of Grantor, and the officers, directors, managers, trustees, trust
