AMENDMENT NO. 3 TO LICENSE AGREEMENT FOR USE OF REAL PROPERTY
BETWEEN
MARISOL FEDERAL CREDIT UNION, LICENSEE
AND
MARICOPA COUNTY, LICENSOR
RECITALS
A. Licensee and Licensor are Parties to that certain License Agreement No. P-50160 dated April 13,
2011 and subsequently amended August 17, 2011 and May 24, 2017 (collectively, the
“License”). The License is for placement of automatic teller machines (ATM’s) at various
locations within Properties owned and/or controlled by Licensor.
B. The term of the License expired June 30, 2021.
C. The Parties now mutually desire to enter into this Amendment No. 3 (“Amendment”) to amend
the License to extend the term and update notice section for Licensor.
AGREEMENT
NOW THEREFORE, in consideration of the foregoing and other good and valuable
consideration, receipt and sufficiency of which is hereby acknowledged, Lessee and Lessor agree
to amend the License as follows:
1. The Recitals, by this reference, are hereby incorporated into this Amendment.
2. Capitalized terms used in this Amendment without definition shall have the meanings assigned
to such terms in the License, unless the context expressly requires otherwise.
3. The term of the License is hereby extended five (5) years to commence, July 1, 2021 and expire
June 30, 2026. The term of the License may be extended for one (1) additional five-year term by
mutual agreement of the Parties. The License is subject to termination pursuant to the provisions
of A.R.S. § 38-511, the provisions of which are incorporated herein by this reference.
4. Notice for Licensor is hereby updated as follows:

5. The effective date of this Amendment is the date of execution by the Parties.
6. The foregoing paragraphs contain all the changes made by this Amendment. All other terms and
conditions of the original License and subsequent amendments shall remain the same and in full
force and effect.
