2 DECISION No, _ 77269

DOCKET NOS. W-01427A-18-0338, ET AL.
Background
12. Liberty Utilities is an Arizona corporation in good standing that provides utility service
nd to approximately 19,000 water customers and 18,000 wastewater customers. Liberty Utilities’ service
territory includes portions of Litchfield Park, Goodyear, Avondale, and unincorporated portions of
Maricopa County in the west Phoenix valley, west of Agua Fria River and north of Interstate Highway
Dm 10.
a 13, Adaman is an Arizona corporation that provides water utility service to approximately
271 customers within Litchfield Park in Maricopa County, Arizona.
14. — Liberty Utilities and Adaman are not affiliated,
10 15, Both Liberty Utilities and Adaman are in good standing with the Commission’s
Ul Corporations Division. (Ex. S-2 at 1.)
12 16. The service territories of Liberty Utilities and Adaman are located adjacent to each
13 other, as shown in the map attached hereto as Exhibit A, which is incorporated herein,
14 17. Liberty Utilities’ system-wide water facilities consist of thirteen wells, two storagé
15 tanks, two booster stations, and a distribution system serving more than 19,000 customer connections,
16 (Ex. S-1, Eng, Report at 1.)
17 18. Staffhas determined that Liberty Utilities has adequate production capacity and storage
18 capacity to serve its current customers and reasonable growth. (Ex. S-1, Eng. Report at 2.)
19 19. According to a Maricopa County Environmental Services Department (“MCESD”)
20 compliance status report dated November 13, 2018, that was provided to Staff, MCESD reports that
21 both Adaman and Liberty Utilities are currently delivering water that meets water quality standards
22 required by 40 Code of Federal Regulations Part 141 (National Primary Drinking Water Regulations)
23 and A.A.C. Title 18, Chapter 4. (Ex. S-1, Eng. Report at 2.)
24 20. Both Adaman’s and Liberty Utilities’ service territories are located within an Arizona
25 Department of Water Resources (“ADWR”) Active Management Area.
26 21. Staff reported that Liberty Utilities is in compliance with ADWR requirements.
27
28
77169
3 DECISION NO,

DOCKET NOS. W-01427A-18-0338, ET AL.
22. According to an ADWR compliance status report dated November 13, 2018, ADWR
reported that Adaman is not in compliance with ADWR requirements relating to lost and unaccounted-
for water. (Ex. S-3.)
23. Staff reported that there are no delinquent Commission compliance items for either
Adaman or Liberty Utilities.
24. Liberty Utilities has an approved backflow prevention tariff and curtailment tariff on
file with the Commission.
The Transaction
25. | Adaman and Liberty Utilities desire to transfer a 73-acre portion of Adaman’s service
10 territory located at the northeast corner of Camelback Road and Alsup Road (“Transfer Area”) to
1] Liberty Utilities. Liberty Utilities will extend water service to the area through an existing 24-inch
12 waterline running along the south side of Camelback Road. (Ex. S-1, Eng. Report at 1.)
13 26. On October 1, 2018, Adaman, Liberty Utilities, and TIP entered into to an Agreement
14 for Partial Transfer of CC&N Territory (“Transfer Agreement”). The Transfer Agreement proposes
15 the deletion of the Transfer Area from Adaman’s CC&N to be followed by the expansion of Liberty
16 Utilities’ CC&N to include the Transfer Area. The Transfer Agreement states TIP is the property
17 owner for the Transfer Area and that Adaman does not currently have the necessary facilities in place
18 to provide water utility service to the Transfer Area. The Transfer Agreement provides that it is
19 conditioned upon issuance of a final, nonappealable order by the Commission approving the
20 Application on terms and conditions acceptable to Liberty Utilities. (Ex. A-1, attached Exhibit C.)
21 27, The legal description of the Transfer Area is attached hereto as Exhibit B.
22 28, Adaman has neither customers nor utility facilities within the Transfer Area. Thus, there
23 are no refunds due on customer deposits, main extension agreements, and/or meter and service line
24 installations related to the Transfer Area. (Ex. S-2 at 2.)
25 Staff Recommendations
26 29. Staff recommends approval of the Application subject to the following conditions:
27 a. That Liberty Utilities be required to charge its existing rates and charges within
the Transfer Area;
28
77169
4 DECISION NO.

DOCKET NOS. W-01427A-18-0338, ET AL.
b, That Adaman be required to file with Docket Control, within one year of the
effective date of a Decision in this proceeding, as a compliance item in this
docket, documentation from ADWR indicating that the Adaman system is
compliant with departmental requirements governing water providers and/or
community water systems; and
c. That Liberty Utilities be required to file with Docket Control within two years
ao
of the effective date of a Decision in this proceeding, as a compliance item in
Oh this docket, a copy of the county franchise agreement for the Transfer Area for
water utility service.
HO
30. Staff further recommends that the Commission’s Decision granting the Application
SS
should be null and void, after due process, as to Liberty Utilities’ extension of CC&N to include the
fF:
Transfer Area should Liberty Utilities fail to meet Condition (c) within the specified time.
fo
a, Liberty Utilities accepts Staff's recommended conditions (a) and (c). (Tr. at 13.)
co
32. | Adaman argues against the adoption of Staffs recommendation (b). According to
Adaman, Staff's recommendation is inappropriate because it does not relate to the Transfer Area and
12
is consequently unrelated to the subject of the Application. (Tr. at 22.) Additionally, Adaman states
13
that it cannot comply with the Staff recommendation within the allotted time. Adaman explains that it
14
has already lost so much water this year that it will not be able to demonstrate compliance this year,
15
(Tr, at 23-24.) Further, because ADWR utilizes a three-year rolling average to determine water loss,
16
Adaman argues that it will take several years after corrective measures have been adopted before
17
Adaman can demonstrate compliance with ADWR requirements. (Tr. at 33.)
18
33, According to Adaman, the noncompliance with ADWR is due to overproduction of
19
water at a well that utilized a timer activated pump rather than radio activation. The timer settings on
20
the well led to overfilling the connected reservoir which would then discharge the excess. Adaman has
21
undertaken to remedy the well’s overfilling issue by installing a variable frequency drive and wireless
22
radio control of the well pump. (Tr. at 29-30.) Additionally, Adaman plans to replace water meters
23
that are operating beyond their expected life span. (Tr. at 30.) Adaman anticipates completing the well
24
upgrades by May 2019 and the meter replacements by the end of 2019. (Id.)
25
34. Staff asserts that water loss is a matter of great importance in Arizona. According to
26
Staff, Adaman experienced a single year water loss of 46.9 percent and a three-year average water loss
27
of 37.06 percent. (Tr. at 37.) In response to Adaman’s timing concerns, Staff asserts that if Staff’s
28
77169
5 DECISION NO.

DOCKET NOS. W-01427A-18-0338, ET AL.
recommendation does not grant sufficient time to meet compliance, Adaman can file a request to extend
the time to comply. (Tr. at 37.)
Resolution
35. Water loss is of great concern in Arizona generally, and it is also of great concern to the
Commission specifically as the rate regulator for water utilities, The pumping, treatment, and
distribution of water affect the operating expenses of the utility that are recovered in rates from
ratepayers. The Commission often requires water utilities experiencing high water loss to take various
measures to address water loss, typically as part of a rate case. However, a utility may operate for
lengthy periods between rate cases.
10 36. We recognize that Adaman has an active rate case pending. However, that rate case
1] was filed in 2017 and is on hold, at Adaman’s request, with the time clock for processing that matter
12 suspended. (See Docket No. W-01997A-17-0381.) Given these circumstances, we find that Staff's
13 recommendation is a measured approach to establishing a framework for bringing Adaman into
14 compliance with ADWR compared to alternatives such as proceeding to an enforcement posture. (Tr.
15 at 50.)
16 af. Given that Adaman’s noncompliance with ADWR is based on a three-year
average
17 accounting for water loss, the evidence reflects that, even with corrective measures in place, Adaman
18 will not be able to achieve compliance within the allotted time. Correspondingly, we find that three
19 years from January 1, 2020, is an appropriate timeframe to permit Adaman to achieve compliance with
20 ADWR. However, based on the extended time it is taking to process Adaman’s rate case, we find that
21 requiring filings on a yearly basis creates additional points of Commission contact with Adaman to
22 periodically ascertain Adaman’s progress. Thus, we find that it is reasonable to require Adaman to
23 annually file a report updating the Commission as to (1) any measures that Adaman has undertaken
24 during the preceding year to address water loss, (2) its annual water loss as of the date of the report,
25 and (3) its three-year average annual water loss as of the date of the report.
26 38. We find that Staff's recommendations, as modified above, are reasonable, appropriate
oe and should be adopted.
