FIRST AMENDMENT TO THE
INTERGOVERNMENTAL AGREEMENT
BETWEEN THE
MARICOPA COUNTY LIBRARY DISTRICT
AND THE GILA BEND UNIFIED SCHOOL DISTRICT NO. 24
FOR
OPERATION OF A PUBLIC AND SCHOOL LIBRARY

This FIRST AMENDMENT ("Amendment") to the Intergovernmental Agreement dated June 24,
2020 (“Agreement”) is entered into by and between the Gila Bend Unified School District No. 24
(“School District”), a political subdivision of the State of Arizona, and the Maricopa County Library
District, a political subdivision of the State of Arizona (“Library District”). The School District and
the Library District may be collectively referred to herein as “Parties” or individually as a “Party.”
RECITALS
WHEREAS, the Parties are empowered by Arizona Revised Statute (A.R.S.) § 11-951,
§ 11-952 and § 15-342(13) to enter into this Agreement; and
WHEREAS, the Library District was established in accordance with A.R.S. § 48-3901 and
the School District is a member of the Library District; and
WHEREAS, the Library District and the School District executed the Agreement to
establish the terms and conditions under which the Parties shall relocate the Library to the
Premises and continue providing library services to the residents of Gila Bend and southwest
Maricopa County that had been provided under that certain Intergovernmental Agreement known
as County IGA Number G-30149 (C-65-07-025-2-00), which was fully executed on April 27, 2007,
and amended by an October 12, 2012 First Amendment (C-65-07-025-2-01), a June 21, 2017
Second Amendment (C-65-07-025-2-03), as well as a June 13, 2018 Third Amendment (C-65-
07-025-2-04) (collectively, the “IGA”); and
WHEREAS, the term of the Agreement will expire five (5) years from the Commencement
Date of the Agreement; and
WHEREAS, during the construction of the new school campus where the Library will be
located, the Parties determined that additional Improvements were necessary to create a safe,
secure and functionally efficient joint-use public/school library; and
WHEREAS, the Parties now desire to enter into this Amendment to adjust the amount the
Library District shall reimburse the School District or its Contractor for the improvements; and
WHEREAS, upon full execution of this Amendment and the completed relocation of the
Library, this Agreement, as amended, shall supersede the IGA known as G-30149, and the IGA
shall be terminated.

AGREEMENT
NOW, THEREFORE, in consideration of the mutual promises and obligations set forth
herein and other good and valuable consideration, the sufficiency and adequacy of which is
hereby acknowledged, the Parties hereby agree as follows:
1. The Recitals, by this reference, are hereby incorporated in this Amendment.
2. Capitalized terms used in this Amendment without definition shall have the meanings
assigned to such terms in the Agreement, unless the context expressly requires
otherwise.
3. Section 4.3 of the Agreement is hereby deleted and replaced with the following: Upon
receipt of an itemized invoice, Library District shall reimburse School District or, upon
instruction of School District, its Contractor an amount not to exceed one hundred fifty
seven thousand and five hundred dollars ($157,500.00) for all costs pre-approved
by the Library District for the Improvements. Library District shall make full payment
for the Improvements within 45 days of receipt of an invoice for costs that have
been approved by Library District.
4. Exhibit “C” of the Agreement, is hereby deleted and replaced with this Exhibit “C”,
attached hereto and by this reference made a part of the Agreement, as amended.
5. The notice address for the Library District in Section 20 of the Agreement shall be
changed to the following:

6. Upon full execution of this Amendment and the completed relocation of the Library, as
evidenced by execution of Commencement Date Confirmation, this Agreement, as
amended, shall supersede the IGA known as G-30149 and the IGA shall be
terminated.
7. Except as specifically modified above, all of the remaining terms and conditions of said
Agreement shall remain and continue in full force and effect.

EXHIBIT C
Scope of Work - Original
The Following work is to be completed by School District’s Contractor, Pono Construction, LLC
on or before the Commencement Date:
• Cleaning – vacuuming & Dusting within 10’ of work
• Floor Protection – protect existing flooring, no new flooring except grind & seal at
removal wall
• Doors, frames & hardware – match existing, hollow metal frames, full lite door at glass
wall, wood single door at added door. Window and door to be 7’ h x 8’w
• Glass & glazing – glass in windows & door
• Drywall & painting – cut new openings, reframe at demoed wall & new glass wall.
Framing in opening for new single door, framed box beam for accordion door. Paint to
match existing, will paint from corner of new/reframed walls only
• Accordion Door – new accordion door10’ w x 9’6’ h standard vinyl finish
• Electrical & Fire Alarm – remove & relocate light switches, receptacle & data point.
Modifications to the fire alarm system will require permit. Plans & permit are included in
this number. One fire alarm strobe will be moved from demoed wall to ceiling
• Contingency – will be deducted if not used (includes additional electrical work
anticipated for number of computers needed)
SCOPE OF WORK – ADDITIONAL
The additional work below is to be completed by School District’s Contractor, Pono Construction,
LLC on or before the Commencement Date:
• Laminate Countertops
o Add metal guard at corner of desk.
o Remove existing cabinets, uppers & lowers and reinstall in new room.
• Doors
o Remove 4 doors & frames, re-install 3 doors, frames & hardware.
o Adjust frames & hardware as needed.
o Add alarm devices to 3 doors.
• Flooring
o Repair carpet at old/new doorways
o Repair base throughout
o New carpet in staff room
o Tile in restroom where door was moved
• Mini Blinds
o Remove mini-blinds from windows
o Add mirrored film at all windows in story hour room.
• Electrical & Fire Alarm
o Relocate quad receptacle in special systems room
o Add power & data drops in staff room
o Add power & data drops in main stacks in multiple locations
o Add power & data, power pole for security gates.
o Add power & data for security workstation & other security gate.

o Add power & data at 2 front columns
o Add outlet at each computer station
o Add outlet at customer service desk
o Add power for tv behind customer service desk
o Added outlets and data at columns per furniture plans
Total cost of original scope and additional scope and changes not to exceed $157,500.00
Prior to the Commencement Date, the School District, or its Contractor shall provide to
Library District a set of final plans and any required approvals including a certificate of
occupancy and/or any other similar approvals necessary for the Library District to occupy
the Premises.
