RESOLUTION C-20-21-002-X-00 RESOLUTION APPROVING THE BYLAWS OF, AND REVISING THE RESTRUCTURING INTERGOVERNMENTAL AGREEMENT ENTERED INTO WITH, THE HOUSING AUTHORITY OF MARICOPA COUNTY, AND REDESIGNATING THE CHAIRPERSON AND VICE CHAIRPERSON OF THE HOUSING AUTHORITY BOARD OF COMMISSIONERS WHEREAS, the Maricopa County Board of Supervisors (“Board of Supervisors”) passed and adopted Resolution C-06-20-272-M-00 on December 11, 2019 (“Restructuring Resolution”), which restructured the Housing Authority of Maricopa County (“Housing Authority”); and WHEREAS, the Restructuring Resolution adopted a new intergovernmental agreement (“Restructuring IGA”) between Maricopa County and the Housing Authority and dissolved the Housing Authority’s Advisory Committee; and WHEREAS, the Housing Authority passed and adopted Resolution 19-025 on December 11, 2019 (“HAMC Resolution”), which approved the Restructuring IGA; and WHEREAS, both the Board of Supervisors and Housing Authority executed the Restructuring IGA on December 19, 2019; and WHEREAS, the Board of Supervisors passed and adopted Resolution C-06-20-403-7-00 on February 26, 2020, which appointed the initial Supervisor-appointed members of the Housing Authority Board of Commissioners and designated the initial Chairperson and Vice Chairperson; and WHERAS, the terms of the initial Chairperson and Vice Chairperson of the Housing Authority Board of Commissioners expire on February 25, 2021; and WHEREAS, in accordance with the Restructuring IGA, Restructuring Resolution, and HAMC Resolution, the new Housing Authority Board of Commissioners proposed new Bylaws of the Housing Authority and provided them to the Board of Supervisors for its review and approval; and WHEREAS, the Board of Supervisors and Housing Authority Board of Commissioners wish to revise the Restructuring IGA to correct Section 5.2. NOW, THEREFORE, BE IT RESOLVED that the Maricopa County Board of Supervisors, in accordance with the Restructuring IGA and Restructuring Resolution, approves the new Bylaws of the Housing Authority in the form attached to and incorporated in this Resolution as Exhibit A; and BE IT FURTHER RESOLVED that, in accordance with the Restructuring IGA, Restructuring Resolution, and HAMC Resolution, the Housing Authority Board of Commissioners shall promptly adopt the new Bylaws as approved by the Board of Supervisors in the form attached as Exhibit A; and BE IT FURTHER RESOLVED that Amendment No. 1 to the Restructuring IGA, in the form attached to and incorporated in this Resolution as Exhibit B, is adopted to revise the first sentence of Section 5.2 (Term) of the Restructuring IGA to read as follows: “This Agreement shall become effective upon execution by both the County and the Housing Authority and shall (except as provided in section 5.3 below) automatically renew for repeated one-year terms unless the County provides notice to the Housing Authority of an intent to non-renew.” All other terms and conditions of the Restructuring IGA shall remain the same and in full force and effect, and BE IT FURTHER RESOLVED that Jake Hinman is redesignated as the Chairperson of the Housing Authority Board of Commissioners for a term starting on February 26, 2021, and expiring on February 25, 2022, and Kathy DiNolfi is redesignated as the Vice Chairperson of the Housing Authority Board of Commissioners for a term starting on February 26, 2021, and expiring on February 25, 2022.
