Re: Notice o Terminate Lease No. L-7493 C-22-20-030-1-00, Lease Agreement Between Maricopa County, a political
subdivision of the State of Arizona, as “Lessee” (the “County”), and The New Foundation, an Arizona nonprofit
corporation, as “Lessor” (the “Foundation”) dated as of April 8, 2020, as amended by Amendment No. 1 to Lease
Agreement dated May 6, 2020 (as amended, the “Lease”) due to Lessor demising a portion of the real property located
at 1200 N. 77** Street, Scottsdale, AZ 85257 (the “Demised Property”)
Dear Ms. Milne:
As recently discussed, the current renewalterm expires onJanuary 7, 2021 and as you know, the Foundation has
received an offerfroma third party to purchase the Property, including the Demised Property.
Section 12.3 of the Lease permits either party to terminate the Lease with a 30-day written notice to the other. It
further provides that in the event the Lease is terminated pursuant to Section 12.3 at any time before the end of amonth,
the Foundation shall repay the pro rata amount of rent paid by the County for the portion of the month that the County
did not occupy the Demised Property. Therefore, the purpose of this letter is to memorialize in writing the Foundation’s
intent to exercise its right to terminate the Lease as of December 18, 2020 (“Termination Date”), at which time the County,
its clients, contractors, and employees shall have vacated the Demised Property and left it in good and clean condition, as
is required by the Lease. As of the Termination Date, neither party owes the other any sums under the Lease.
