Amendment No. 1 to License Agreement
for
Use of Real Property
RECITALS
A. Arizona Center for Nature Conservation, Inc., an Arizona non-profit corporation ("Licensor")
and Maricopa County, a political subdivision of the State of Arizona ("Licensee")
(collectively, the "Parties") are Parties to that certain License Agreement for Use of Real
Property, No. P50305, dated October 25, 2017 (the "Agreement"). The Agreement is for the
use of Property at 10409 South Central Avenue, Phoenix, Arizona, to run and maintain an
educational kiosk and air quality monitoring station.
B. The term of the Agreement expires September 30, 2019.
C. The Parties now mutually desire to enter into this Amendment No. 1 to the Agreement to
amend the Agreement to extend the term.
AGREEMENT
NOW, THEREFORE, in consideration of the foregoing, mutual promises contained herein
and other good and valuable consideration, the sufficiency and adequacy of which the Parties
hereby acknowledge, Licensor and Licensee agree to amend the Agreement as follows:
1. Recitals, by this reference, are hereby incorporated into this amendment.
2. The Agreement term is hereby extended two (2) years, to commence retroactively October
1, 2019 and expire September 30, 2021. This Agreement is subject to termination pursuant
to the provisions of A.R.S. §38-511.
3. The effective date of this amendment is the date of execution by both Parties.
4. The foregoing paragraphs contain all the changes made by this amendment. All other terms
and conditions of the original Agreement remain the same and in full force and effect.
