with offices at 234 North Central Avenue, Phoenix, Arizona 85004 (“Counterparty”). (“APS” and
“Counterparty” are referred to herein individually as “Party” and collectively as the “Parties”).
WHEREAS, APS and Counterparty are Parties to this Agreement, dated effective as of the 1st day
of August, 2019;
NOW THEREFORE, in consideration of the above premise and respective covenants and
agreements hereinafter set forth, the Parties agree to the following:
1. Defined Terms.
APS Energy Support Program (“Program”) - The APS Energy Support Program
provides a discount on the monthly APS electric bill to eligible APS residential
customers. Eligibility for the discount is based on the 150% Federal Poverty Level (FPL)
and household size. Program eligibility details are shown and kept current on
www.aps.com/E3. Receipt of Supplemental Nutrition Assistance Program (SNAP) or
Temporary Assistance for Needy Families (TANF) benefits categorically qualifies APS
residential customers for the Program. The Program consists of a monthly flat rate
discount of 25% on an eligible customer’s APS bill before taxes to assist with their energy
cost.
2. Term. The Term of this Agreement will commence on the effective date and conclude on
July 31st, 2020. This Agreement is subject to cancellation by the Parties in accordance with
the provisions of Arizona Revised Statutes § 38-511. Additionally, APS shall have the
ability to cancel this Agreement at any time during the term with 60 days written notice to
Counterparty.
3. Compensation. This program is funded on a cost reimbursement basis, not to exceed
$131,000 with an option to review on a yearly basis, as agreed upon by the Parties.
4. Invoicing. The Counterparty shall track enrollments or extensions on the APS Energy
Support program submitted to APS through the APS Electronic Agency Guarantee (EAG)
system and invoice by the 15th of the following month. The Counterparty will email monthly
invoices in a PDF format to the following;
paybables@aps.com
michelle.lehman@aps.com
james.holbrook@aps.com.
Each invoice shall include the P.O. number for this Agreement and the total number of APS
customer enrollments or extensions submitted for the month. On the same time schedule a
separate summary sheet with a detailed list of the APS customers enrolled or extended that
includes the customer APS account number, name and address shall be sent to via the APS
secure file transfer system. The secure file system will be used to maintain the privacy of the
customer records.

5. Agreement Extension. The Agreement longevity is determined by APS in its sole and
separate discretion. Any extension of this Agreement Section 3, Compensation, may be
amended from time to time by APS. APS reserves the right to review sufficient verification
and pertinent reporting data and extend or allow expiration of this Agreement into the future.
6. Scope of Services. The Counterparty, in their capacity as an assistance agency, will verify
APS customer eligibility for the APS Energy Support Program (E-3) and complete the
eligibility review and enrollment process through the APS EAG system with customers who
are eligible to participate in the program.
The APS EAG system will allow Counterparty to extend a customer’s existing enrollment
on the Energy Support Program. Counterparty shall extend the enrollment of APS customers
that it finds are already enrolled on the Energy Support Program.
Counterparty shall make every reasonable effort to enroll or extend a minimum of 500 APS
customer each month of this Agreement with the exception of the first month. The

ensure that authorized users sign the EAG Agreement. Access to the EAG system will be
revoked with 24 hours of Counterparty becoming aware of an employee’s resignation,
termination or reassignment.
7. Application Final Determination. APS reserves the right to overrule enrollments submitted
by the Counterparty. For example, it is possible that the Counterparty can approve an
application based on income and APS will deny it because the customer account is no longer
active.
8. Customer Authorization. Prior to enrolling, or extending, the APS customer in the APS
Energy Support Program, Counterparty will ensure that the APS customer has signed an
approved consent form allowing Counterparty to access information from APS concerning
the customer’s relevant account information. Agency must keep all original signed customer
authorization forms in a secure location for the same period of time as required by the
County’s program that qualifies the APS customer for the APS Energy Support Program.
