Letter Amendment to the Sole Source Contract
By and Between Maricopa County and Atos IT Solutions and Services, Inc.
This letter amendment number (“Amendment”) is made and entered into as of July 1, 2019
(“Effective Date”) by and between Maricopa County, a political subdivision of the state of Arizona,
(“County”) and Atos IT Solutions and Services Inc. (transferred by way of assignment from Bull HN
Information Systems Inc.) (“Contractor”) and amends the Sole Source Contract with a Serial Number of
14071-SS entered into on September 10, 2014 (“Agreement”) originally between Bull HN Information
Systems Inc. and the County, and was assigned to Atos IT Solutions and Services, Inc. on June 30, 2015.
WHEREAS, the Parties entered into the Agreement for the provision of Products and Services;
WHEREAS, the initial term of the Agreement is set to expire on June 30, 2019; and
WHEREAS, the Parties desire to extend the term of the Agreement as set forth below.
NOW THEREFORE, for the mutual premises with adequate consideration exchanged, the Parties
agree as follows:
1) Pursuant to Section 1.2 of the Agreement, the Parties agree to extend the term of the
Agreement for up to six (6) months on a month to month basis, through December 31st, 2019, subject to the
agreed upon pricing schedules attached hereto as Exhibit 1. The month to month pricing requires thirty (30)
calendar days advance notice to terminate. Atos agrees to a 10% discount on all fees should the County
commit for all products through December 31, 2019 and agrees to pay the fees in advance within 30 days
after the start of the term. Atos agrees to a 5% discount on all fees should the County commit for all
products through September 30, 2019 and agrees to pay the fees in advance within 30 days after the start of
the term. The County must notify the Contractor of its desired pricing option by June 28, 2019.
2) The terms of the Agreement, the Amendment and any statement of work constitute the entire
agreement of the Parties. Except as set forth herein, the terms of the Agreement are incorporated into, and
govern, this Amendment. In the event of a conflict between the terms of this Amendment and the terms of
the Agreement, the terms of this Amendment shall govern.
The Parties accept the terms of this Amendment as of the Effective Date set forth above, by the
signatures of their authorized representatives.

2) Should the above configuration change the pricing will change accordingly.
3) Month to Month usage of the above products and services requires 30 day advance written notice to terminate.
4) Atos agrees to provide a 10 % discount on the above fees if the County commits to an initial period of at least six (6) months prior to June 30, 2019, and agrees
to pay in advance by July 31, 2019. Atos agrees to provide a 5 % discount on the above fees if the County commits to an initial period of at least three (3) months
prior to June 30, 2019, and agrees to pay in advance by July 31, 2019.
5) The County must notify Atos of its desired pricing option by June 28, 2019.
