EXTENSION OF CABLE TELEVISION LICENSE AGREEMENT
THIS EXTENSION OF CABLE TELEVISION LICENSE AGREEMENT (this
"Extension") is entered into this day of May, 2019, by and between Maricopa County, a
political subdivision of the State of Arizona (the "County") and Western Broadband, LLC, a
Delaware limited liability company ("Western Holdings").
RECITALS:
A. The County and Western Holdings entered into a Cable Television License
Agreement ("Current License"), dated June 16,2004, relating to cable services within the
boundaries of the County.
B. The Current License is scheduled to expire pursuant to its own terms on or about
June 15, 2019.
C. The County and Western Holdings have been engaged in discussions regarding a
new license agreement related to Western Holdings providing cable services within the boundaries
of the County, but in light of enactment of Laws 2018, Chapter 331 they have discontinued those
discussions.
D. The County and Western Holdings now wish to extend the term of the Current
License until issuance of a new uniform video service license under Arizona Laws 2018,
Chapter 331, thereby allowing the parties to continue to operate on the same terms and conditions
as provided in the Current License until not later than June 30, 2020.
AGREEMENT:
NOW, THEREFORE, in consideration of the foregoing recitals, which are incorporated
herein by reference, the mutual promises contained herein and other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, the County and
Western Holdings hereby agree as follows:
1. License Extension. For the purpose of providing continuity of authority, service
and revenue pending implementation of Arizona Laws 2018, Chapter 331, the term of the Current
License is hereby extended through June 30, 2020, or, if earlier, the effective date of issuance of a
uniform video service license.
2. Notices. All Notices for purposes of the Current License and this Extension shall
be sent to the following address(es):

3. This Extension is subject to cancellation pursuant to A,R.S. §38-511.
4. Effect of Amendment. Except as expressly modified herein or under applicable
law, the Current License shall remain in effect.
