TERMINATION OF INTERGOVERNMENTAL AGREEMENTS
BETWEEN
CITY OF AVONDALE
AND
MARICOPA COUNTY

This Termination of Intergovernmental Agreements (“Termination”) is entered into effective as
of the date last executed below ("Effective Date") by and between the City of Avondale, a municipal
corporation organized under the laws of the State of Arizona (“Avondale”), and Maricopa County, a
political subdivision of the State of Arizona (“County”), hereinafter referred to collectively as the
“Parties”, or individually as a “Party”.
RECITALS
WHEREAS, Avondale and County have entered into several Intergovernmental Agreements
(IGAs) associated with due diligence and land purchase activities for a proposed shared southwest
regional government complex as set forth below:
A. That certain Southwest Regional Service Center IGA which was recorded as Recording
Number 91-096792 in the Maricopa County Recorder’s Office on March 8, 1991
(C8911184); and
B. That certain IGA to fund a space analysis and design study, recorded on April 17, 2002, as
Recording Number 2002-0392449 (C70-02-089-2-00); and
C. That certain IGA for the County’s purchase of 15.86 acres of land from Avondale, recorded
on October 30, 2002, as Recording Number 2002-11344429 (C-18-03-006-2-00), as amended
by Amendment 1 which was recorded as Recording Number 2003-0703121 on June 2, 2003,
(C18-03-028-2-00) to correct the size of the parcel to 15.53 acres; and
WHEREAS, the County, due to reasons beyond its control, was unable to construct the proposed
government complex on the land purchased from Avondale and has constructed a complex on a different
parcel of land; and
WHEREAS, the Parties now mutually desire to terminate the above mentioned IGAs.

NOW, THEREFORE, in consideration of the foregoing recitals and the mutual promises
contained herein, the Parties agree as follows:
1. The Recitals by this reference are hereby incorporated into this Termination.
2. The Parties mutually agree to terminate the IGAs described above, recorded in the Maricopa
County Recorder’s Office as follows, because the purpose of the IGAs has been fulfilled and/or the IGAs
are no longer necessary:
A. Recording Number 91-096792; and
B. Recording Number 2002-0392449; and
C. Recording Number 2002-11344429; and
D. Recording Number 2003-0703121.
3. The terms of this Termination shall be construed in accordance with the laws of the State of
Arizona and any action thereon shall be brought in the appropriate court located in Maricopa County,
Arizona.
4. The Termination may be signed in a number of counterparts with the same effect as if the
signatures thereto and hereto are upon the same instrument.
