SPEC:)IM
AN ASSOC livras

Revised: December 14, 2018

RE: Proposal for Geotechnical Investigation
MCEAWI
1920 South Lewis
Mesa, AZ
Proposal No. 67267 S
Mr. Tom:
We are pleased to provide our cost estimate to conduct a soil investigation at the above referenced site that will
satisfy site development and foundation design requirements. All work on this project will be carried out under the
overall supervision of a registered Professional Engineer in the state of Arizona.
We understand that construction will consist of a 42,000+/- square foot animal welfare facility on a 6.5 acre property
with an existing warehouse building. Details of the facility are not known at this time however for this proposal we
will assume one or two stories with slab on grade and masonry construction. Structural loads are expected to be
light to moderate and no special considerations regarding settlement tolerances are known at this time. Adjacent
areas will be landscaped or paved to support moderate passenger and light truck traffic. Landscaped areas will be
utilized for storm water retention and disposal.
Geotechnical Investigation-We will drill and sample sufficient test borings to adequately determine subsoil
conditions and provide samples for laboratory testing. Sufficient laboratory tests will be conducted to properly
classify the soils encountered and provide data for engineering design. We presently anticipate drilling four to five
(4 to 5) structural borings to depths 10 to 20 feet below existing ground surface, or refusal, whichever comes first.
Access to the site by conventional truck-mounted drilling equipment is assumed to be free and unencumbered. Due
to the existing facilities, a private utility locator will be subcontracted to locate privately owned traceable
underground utilities in the vicinity of the borings. S&A is not responsible for damage and/or repair of untraceable
underground utilities.
Percolation Tests-An add-alternate fee is provided to excavate and conduct shallow percolation/infiltration tests
meeting the SRP-MIC requirements. SRP-MIC now requires dual ring percolation tests per ASTM D3385 be
conducted, same as Maricopa County. This method requires a backhoe to excavate test pits, install large ring devices
and a minimum of 6 hours of continuous readings. Tests would be conducted at the proposed depths of the retention
basins per the Grading and Drainage plans. These tests would need to be conducted in unpaved areas.
We will analyze the data obtained from field and laboratory testing and prepare a report presenting all data obtained,
together with our conclusions and recommendations regarding:
1. Design data, allowable bearing pressure and depth, for shallow spread footings.
2. Alternate foundation systems and design data, if indicated by soil conditions.
3. Settlement estimate for each foundation system considered.

4. Lateral pressures on temporary and permanent retaining and foundation walls.
5. Seismic Site Classification based on borings and published ground motion data.
6. Groundwater conditions, if any, to the depths which will influence design and/or construction of the
proposed development.
7. Swell potential of in-situ and compacted soils and recommendations for control if highly expansive.
8. Pavement design to provide economy and adequate service.
9. Suitability of site soils for use as compacted fill and preferred earthwork methods, including clearing,
stripping, excavation and construction of engineered fill.
10. Local excavation and trenching conditions and stability considerations.
11. Percolation/Infiltration testing for design of storm water basins.
We propose to provide the design services set forth herein for the following estimated amount, which includes all
testing, engineering, reimbursable expenses, one hard copy of the report and an electronic PDF format file to be
emailed upon completion. The fees have been developed utilizing our Maricopa County On-Call Fee and Rate
Schedule. Should we be informed that additional hard copies of the report are needed after it has been finalized,
there will be an additional charge of $25.00 per report.
Description Fee
Geotechnical Investigation & Report $ 3,949.17 Accept 0 Decline CI
Add-Alternate: Percolation Tests $ 1, 600. 00 First Test' Accept 0# Decline El
$ 600.00 Additional Tests'
Notes: 1 The first test incorporates the cost of the backhoe service.
2 Conducted on the same mobilization as the initial percolation test.
We have the staff available to begin work immediately upon notice to proceed. Once we finalize the boring location
plan, 10 working days are required to mark, obtain utility clearances and begin auger borings. Fieldwork for auger
borings should take one day (weather & access permitting) and lab testing 2-3 weeks. The complete report will be
issued within 7 days of lab testing completion. As always, we stand ready to make reasonable adjustments to this
schedule to meet our clients' needs.
We appreciate the opportunity to submit this proposal for your consideration. If the terms set forth are satisfactory,
please attached copy of this scope of work to your standard Professional Consulting Services Contract and return it
for our records.

PROFESSIONAL SERVICES AGREEMENT
FOR
MARICOPA COUNTY EAST ANIMAL WELFARE IMPROVEMENTS (IVICEAWI)
(Tax Parcel No. 139-49-020 Maricopa County Assessor)
Revised December 17, 2018
December 13, 2018
Presidio Engineering Job No. 118042-01-0010
I. PROJECT UNDERSTANDING
In accordance with a request from Henry Tom at Line and Space (Client) Presidio
Engineering, Inc. (Presidio) is pleased to submit this Professional Services Agreement
(Agreement) for providing Professional Civil Site Engineering Assistance in support of the
above referenced MCEAWI project located within the City of Mesa, Maricopa County,
Arizona.
Presidio understands that:
A. The Client is contracting with Maricopa County on a design bid build basis to provide
AE services for the Maricopa County East Animal Welfare Improvements (MCEAWI)
project.
B. The MCEAWI project is to consist of the construction of a new 42,000 SF facility on a
6.5 +/-acre parcel of land located at the southwest corner of S. Lewis Road and E.
Javelina Avenue as depicted within the attached December 5, 2018 email from Henry
Tom attached as Exhibit "D".
C. The Client is unaware if the project is exempt from the City of Mesa Administrative
Code and thus the scope of work and fees of this Agreement is based upon the
assumption that the project is to be processed in accordance with the City of Mesa
standards.
D. Currently, the site is fully developed as an industrial facility. However, the Client has
indicated that for purposes of the development of our scope of work and fees that
Presidio is to assume that all existing site improvements will be removed prior to our
commencement of work and thus the preparation and permitting of demolition plans
and permits are not included in this Agreement.
E. Although the existing buildings on the site are not located within a FEMA Flood Zone,
a portion of this site lies within a FEMA Flood Zone "All" per FIRM Map
04013C264M map effective date November 4, 2015.

Further, the location of the new building's footprint relative to the existing Flood Zone
has not yet been determined and thus it is unknown as to whether a Conditional Letter
of Map Revision (CLOMR)/Letter of Map Revision (LOMR) will need to be prepared
to support the new development. Consequently, for the purposes of this Agreement we
have excluded the preparation of any CLOMR/LOMR documents from our scope of
work and fees.
F. The Client has indicated that should the site not be able to accommodate all of its
parking needs on-site that the existing parking lot located east of the site will be used to
meet the needs of the project and that the Client does not anticipate the need to do any
improvements to this off-site parking and thus no work associated with this off-site lot
has been included in this Agreement.
G. Additionally, there appears to be existing public sewer and water mains on-site. This
Agreement does not include the preparation of any new public utility extensions nor
relocation plans as a part of Presidio's scope of work and/or fees as contained herein.
H. Again, for the purposes of preparing the scope of work and fees for this Agreement, it
is assumed that all necessary supporting utilities both wet and dry along with storm
water conveyance facilities exist at the boundary of the project and are sufficient size to
properly serve the proposed improvements. Further, it is assumed that no off-site
paving, parking and access and/or grading improvements are required. Therefore, this
Agreement does not include the preparation and processing of any off-site
improvement plans.
I. Presidio understands that the Client will be making all submittals for the project
including the processing of all of Presidio's work products as well as scheduling all
required pre-submittal/application meetings as well as handling public notice
requirements.
J. Presidio also understands that the Client will, at their own expense, have at a minimum
the following plans, studies, calculations and designs prepared in order to support
Presidio's work product as described in the scope of work within this Agreement:
1. Supporting land surveying services to provide, at a minimum, boundary/rights-of-
way verification, on and off-site topography, design survey, Blue Stake results,
above ground utilities along with City of Mesa required as-built data including
elevation certificates in accordance with Presidio's requirements. Further, the
surveyor will also provide all supporting legal descriptions including exhibits.
2. Supporting Phase I and II environmental reports.
3. Geotechnical analysis and recommendations.
4. Title services (as needed).
5. Supporting approved landscape documents including Landscape and Irrigation
Plans.
6. Supporting Architectural along with MP&E Plans and calculations.
7. Supporting structural design.
8. Supporting Traffic Impact Analysis.

It should also be noted that this Agreement does not cover conducting detailed
inspections or providing exhaustive or continuous project review and observation
services. Presidio's services do not include inspection services. In addition, Presidio
does not guarantee the performance of, and shall have no responsibility for, the acts or
omissions of any contractor, sub-contractor, supplier or any other entity furnishing
materials or performing any work on the project. If the Client desires more extensive
project observation or full-time project representation, such services may be provided
by Presidio as additional services under a separate agreement to be agreed upon by the
Client and Presidio.
Additionally, the preparation and processing of sewer as-builts is the responsibility of
the Client's project Surveyor and is not included within the Scope of Work or fees of
this Agreement.
Further, it should be noted that Presidio is not responsible for the construction methods
employed on-site nor is Presidio responsible for the safety of any workers associated
with the project.
By the execution of this Agreement, the Client acknowledges that they will contract
with a qualified geotechnical firm to:
Observe site preparation activities so as to confirm that the soil conditions
encountered are as expected within the project's Geotechnical Report.
Conduct materials testing to ensure conformance with the project's plans and
specifications.
Provide copies of these test results be supplied to Presidio on a weekly basis.
Additionally, it is important to state that this Agreement is based upon the
understanding that it is the responsibility of the Client, his representatives and his
contractor to contact the Geotechnical Engineer at the appropriate stages of the project
to ensure materials testing is conducted such that conformance with the project plans
and specifications is ensured.
By the execution of this Agreement, the Client acknowledges that they will contract
with an Arizona Registered Land Surveyor to provide construction staking/as-built
information and that the Client's contract with the Surveyor stipulate that the Surveyor
provide any as-built data required by the jurisdiction having authority and by Presidio
and that the Surveyor will respond to a request for surveying services no later than 48
working hours from the time the request has been made.
The amount of effort expended by Presidio in providing construction services is heavily
dependent on items not under our control, such as the contractor's management,
schedule, sequence of activities, quality of workmanship as well as inclement weather
and other unforeseen circumstances.

Consequently, Presidio's construction services are provided on a time and materials
basis within the framework of an initial budget established within this Agreement.
The initial budget is based upon our assumption of the number of site visits that will be
required as shown within the following table along with an allowance (detailed within
the "Fees" section of this Agreement) for addressing RFIs and providing a closeout
package through the governing jurisdiction.
Site Visits Location/Duration
One (1) pre-construction meeting On-Site/1-hour meeting
plus 4 hours travel time
Fifteen (15) site observation visits during construction of On-Site/1-hour meeting
the project plus 4 hours travel time
One (1) walk through with owner/contractor and prepare On-Site/1-hour meeting
punchlist plus 4 hours travel time
One (1) walk through visit to verify Presidio's punchlist On-Site/1-hour meeting
items have been addressed plus 4 hours travel time
However, should the construction period and/or number of visits estimated above be
accelerated or extended, due to unforeseen circumstances, or should extensive RFIs
(more than ten) and/or record drawing work be required beyond Presidio's initial
budget, Presidio will prepare a CO to provide these additional construction services to
the Client. The CO is to be agreed upon by both the Client and Presidio prior to
providing these additional services.
Finally, construction observation during construction is a continuation of our design
services and not a separate and unique function. Field observation during construction
allows for evaluation of the design conditions and confirmation or revision of the
assumptions and extrapolations made in formulating the design parameters and
recommendations. If an engineering firm other than Presidio is contracted to provide
observation during construction, they should notify the owner, project designers, the
appropriate regulatory agencies and this office that they have assumed responsibility for
all phases (design and construction) of the project within the purview of the Engineer of
Record. Notification should indicate that have reviewed the improvement plans and
any subsequent addenda and either agree with the conclusions and recommendations or
will provide new recommendations.
Client Provided Items:

STANDARD CONDITIONS
Client agrees to cooperate in any and every way or manner with PRESIDIO ENGINEERING, INC. (PRESIDIO) on the services to be performed
by PRESIDIO hereunder.
All sketches, drawings, tracing, computations, survey notes and other original documents are and shall remain the property of PRESIDIO, subject
to the requirements of public agencies.
All agreements on PRESIDIO's part are contingent upon and subject to the fact that PRESIDIO shall not be responsible for damages, or be in
default or deemed to be in default by reason of delays in performance by reason of strikes, lockouts, accidents, acts of God, shortages of materials,
unavailability of labor at established area wage rates, delays caused by failure of Client, other contractors or governmental agencies, the
performance of whose work is precedent to or concurrent with the performance of PRESIDIO's services hereunder and other unavoidable delays or
any causes beyond reasonable control of PRESIDIO. In the case of the happening of any such cause of delay, the time of completion shall be
extended accordingly. In the event PRESIDIO's services hereunder arc not completed within six (6) months from the date of this agreement,
PRESIDIO reserves the right to adjust its fee for the uncompleted portion of its services to reflect any increases in wages, salaries or benefits to be
paid by PRESIDIO to its employees in the performance of this Agreement.
In the event that any staking, as provided by PRESIDIO, is destroyed by an act of God or parties other than PRESIDIO, the cost of restaking shall
be paid for by Client. Such cost shall be in addition to the compensation otherwise payable to PRESIDIO hereunder.
5 PRESIDIO makes no representation concerning soil conditions, and has not, unless expressly set forth in the description of the scope of work set
forth in this Agreement, undertaken any responsibility to furnish any reports or to secure performance of any tests concerning the character of soils
or their suitability for construction. In the event that PRESIDIO agrees to secure performance of soil tests, it is agreed that the service shall be for
the convenience of the Client, and PRESIDIO's only obligation shall be to coordinate performance of soil tests and preparation of soil reports for a
soil testing lab, which reports and tests shall be for exclusive use of and dissemination to Client. PRESIDIO shall not be responsible for any
claims, liabilities, or damages which arise or arc alleged to arise out of the making or failure to make soil surveys, compaction tests or other
subsurface soil tests of any kind or nature.
6. PRESIDIO's responsibility in performing this contract is limited solely to the scope of services to be performed by PRESIDIO as expressly set forth
in this contract, and PRESIDIO, its agents and/or employees shall have no liability of any kind to the Client or to any construction contractor or
subcontractor or any person having contractual relationships with them for any actions, errors and/or omissions of PRESIDIO, its agents and/or
employees which are not within the scope of the services to be performed by PRESIDIO. Additional services requested by the Client shall be
covered by letter or memorandum and constitute an addendum to this Agreement.
7. In recognition of the relative risks and benefits of the Project to both the Client and PRESIDIO, the risks have been allocated such that the
Client agrees, to the fullest extent permitted by law, to limit the liability of PRESIDIO and PRESIDIO'S officers, directors, partners,
employees, shareholders, owners and sub-consultants for any and all claims, losses, costs, damages of any nature whatsoever or claims
expenses from any cause or causes, including attorneys' fees and costs and expert-witness fees and costs, so that the total aggregate liability
of PRESIDIO and PRESIDIO'S officers, directors, partners, employees, shareholders, owners and sub-consultants shall not exceed
$165,114.00, or PRESIDIO'S total fee for services rendered on this Project, whichever is greater and in no event shall PRESIDIO's
liability exceed the amount of available insurance proceeds. It is intended that this limitation apply to any and all liability or cause of
action however alleged or arising, unless otherwise prohibited.
8. No conditions or representations altering, detracting from or adding to the terms hereof shall be valid unless printed or written herein or evidenced
in writing by either party to this Agreement and accepted in writing by the other.
9. The Client agrees that, in accordance with generally accepted construction practices, the construction contractor will be required to assume sole and
complete responsibility for job site conditions during the course of construction of the project, including, without limitation, prosecution of work
and the safety of all persons and property and that this requirement shall be made to apply continuously and not be limited to normal working
hours. Client further agrees to defend, indemnify and hold PRESIDIO harmless from any and all liability, real or alleged, in connection with the
performance of work on the project.
10. Client shall pay the cost of all expenses incurred or to be incurred by PRESIDIO directly or indirectly in connection with the Project for:
transportation and subsistence incidental thereto; obtaining bids or proposals from contractors; toll telephone calls and telegrams; and all charges to
be paid or incurred for fees, permits, bond premiums, title company charges, delivery charges, blueprints and reproduction of reports, drawings,
specifications and all other charges and expenses not specifically itemized in this paragraph, but which are reasonable and necessary for the proper
completion of the services hereby covered. In the event such reimbursable items are paid directly by PRESIDIO, then client shall be obligated to
reimburse PRESIDIO therefore, and such charges and expenses shall be invoiced by PRESIDIO to Client at direct cost, plus fifteen percent (15%)
for handling.
Invoices will be issued monthly, are due and payable upon receipt and are delinquent thirty (30) days after the invoice date. When an invoice
becomes delinquent, PRESIDIO may, at its option, suspend or stop performance hereunder until such time as all delinquent invoices, together with
accrued late charges, attorneys fees, litigation or collection expenses, whether taxable or not, have been paid. If an invoice remains delinquent for a
period of forty-five (45) days, PRESIDIO may, at its option, terminate this Agreement by giving written notice of its termination to the Client.
Termination shall take effect on the date of the notice of termination. In the event of termination under the provisions of this paragraph, PRESIDIO
shall be entitled to payment for all services rendered and costs incurred hereunder through the date of termination and for recovery of all expenses
which arc attributable to said termination or described in paragraph 22 hereof.

13. Client shall promptly review invoices and notify PRESIDIO of any objection thereto. Absent such objection in writing within ten (10) days of the
date of the invoice, the invoice and the services covered thereby shall be deemed proper and acceptable.
14. If invoices are not paid in full prior to delinquency, Client agrees to pay a late charge on the unpaid amount at a monthly rate equivalent to the
prime lending rate then being charged by Wells Fargo, plus eight (8) percentage points, said late charge to accrue from the date on which each such
invoice becomes delinquent. PRESIDIO reserves the right to increase or reduce the late charge rate by giving written notice to Client. Notice of
any such increase or reduction shall become effective thirty (30) days following the date of the notice. All payments received by PRESIDIO shall
first be credited to payment of any late charges and then to the principal balance.
15. In the event any term or provision of this Agreement is held to be invalid, or unenforceable, the validity of the other provisions hereof shall not be
affected, and this Agreement shall be construed and enforced as if it did not contain the particular term or provision held invalid or unenforceable.
16. In an effort to resolve any conflicts that arise during the design and construction of the Project or following the completion of the Project, the Client
and PRESIDIO agree that all disputes between them arising out of or relating to this Agreement or the Project shall be submitted to nonbinding
mediation.
The Client and PRESIDIO further agree to include a similar mediation provision in all agreements with independent contractors and consultants
retained for the Project and to require all independent contractors and consultants also to include a similar mediation provision in all agreements
with their subcontractors, subconsultants, suppliers and fabricators, thereby providing for mediation as the primary method for dispute resolution
among the parties to all those agreements.

Miscellaneous Provisions
1. If this Agreement is not signed and returned to the Landscape Architect (McGann & Associates) within 90 days of the date
noted, the offer to perform the described services may, at the Landscape Architect's sole discretion, be withdrawn and be null
and void.
2. This agreement is governed by the laws of the State of Arizona.
3. This Agreement is the entire and integrated agreement between the Client and the Landscape Architect and supercedes all
prior negotiations, statements, or agreements, either written or oral. The parties may amend this agreement only by a written
instrument signed by both the Client and the Landscape Architect.
4. In the event that any term or provisions of this Agreement is found to be unenforceable or invalid for any reason, the remainder
of this Agreement shall continue in full force and effect, and the parties agree that any unenforceable or invalid term or provision
shall be amended to the minimum extent required to make such term of provision enforceable and valid.
5. Neither the Client or Landscape Architect shall assign this Agreement without the written consent of the other.
6. Nothing in this Agreement shall create a contractual relationship for the benefit of any third party.
Scope of Work:
7. All services not specifically identified in this Agreement are excluded from the scope of services to be provided by the
Landscape Architect.
Implementation of the Specified Work:
8. The Landscape Architect will provide professional services related to this project in accordance with generally accepted
standards of the landscape architectural profession.
9. McGann & Associates may rely on the accuracy and completeness of documents provided by the Client, the Owner, and/or
other design professionals involved in the design and engineering of the project.

ATTACHMENT A: AGREEMENT BETWEEN LANDSCAPE ARCHITECT AND CLIENT- GENERAL PROVISIONS
19. To the extent damages are covered by property insurance during construction, the Client and Landscape Architect waive all
rights against each other and against contractors, consultants, agents, and employees of the other for such damages. Client

because of such suspension of services or termination due to Client's nonpayment.
Dispute Resolution:
23. Client and Landscape Architect agree to mediate claims or disputes arising out of or relating to this Agreement before initiating
litigation. The mediation shall be conducted by a mediation service acceptable to the parties. A party shall make a demand for
mediation within a reasonable time after a claim or dispute arises, and the parties agree to mediate in good faith. In no event
shall any demand for mediation be made after such claim or dispute would be barred by applicable law. Mediation fees shall be
shared equally.
24. Should any legal proceeding be commenced between the parties to this Agreement seeking to enforce any of its provisions,
including, but not limited to, fee provisions, the prevailing party in such proceeding shall be entitled, in addition to such relief as
may be granted, to a reasonable sum for attorney's and expert witnesses' fees, which shall be determined by the court or forum
in such a proceeding or in a separate action brought for that purpose. For purposes of this provision, "prevailing party" shall
include a party that dismisses an action for recovery hereunder in exchange for payment of the sum allegedly due, performance
of covenants allegedly breached, or consideration substantially equal to the relief sought in the action or proceeding.
25. Client and Landscape Architect waive consequential damages for any claims, disputes or other matters in question arising out
of or relating to this Agreement. Landscape Architect's waiver of consequential damages is, however, contingent upon the
Client requiring the contractor and subcontractor to waive all consequential damages against the Landscape Architect for
claims, disputes or other matters in question arising out of or relating to the Project.
Maintenance of improvements:
26. The Client / Owner acknowledges that proper maintenance of the project is required after construction of the project is complete
and that lack of proper maintenance may result in damage to property or persons. The Client / Owner further acknowledges
that, as between parties to this Agreement, the Client / Owner is solely responsible for the results of any lack of or improper
maintenance.
Indemnification:
27. The Client agrees to indemnify, defend, and hold the Landscape Architect harmless from and against any and all claims,
liabilities, suits, demands, losses, costs, and expenses including but not limited to, reasonable attorneys' fees and all legal
expenses and fees incurred through appeal, and all interest thereon, accruing or resulting to any and all persons, firms or any
other legal entities on account of any damages or losses to property or persons, including injury or death, or economic losses,
arising out of the Project and/or this Agreement, except that the Landscape Architect shall not be entitled to be indemnified to
the extent such damages or losses are found by a court or forum of competent jurisdiction to be caused by Landscape
Architect's negligent errors or omissions.
Use and Ownership of the Landscape Architect's Documents:
28. Upon the parties signing this Agreement, Landscape Architect grants the Client a nonexclusive license to use Landscape
Architect's documents as described in this Agreement, provided the Client performs in accordance with the terms of this
Agreement. No other license is implied or granted under this Agreement. All instruments of professional service prepared by
Landscape Architect, including but not limited to drawings and specifications, are the property of the Landscape Architect.
These documents shall not be reused on other projects without Landscape Architect's written permission. Landscape Architect
retains all rights, including copyrights, in its documents. Client or others cannot use Landscape Architect's documents to
complete this project with others unless Landscape Architect is found to have materially breached this Agreement.
