Dear Chief Real Estate Officer:
This office represents FC1 Holdings, LLC, an Arizona limited liability company ("FCI") which
purchased the "Premises" as described in that certain Ground Lease Agreement between H.R. Ventures,
LLC, Lessor, and Maricopa. County, Lessee, Ground Lease No. L-7460 "(Ground Lease").
Enclosed is a copy of Assignment of Ground Lease Agreement wherein the Lessor's interest in the
Ground Lease was assigned to FCI.
This correspondence constitutes notice of sale of the Premises and assignment of the Lessor's
interest in the Ground Lease to FCI pursuant to paragraph 17 of the Ground Lease.
All notices to Lessor under the Ground Lease and all rent payments shall be sent to Lessor at:

ASSIGNMEN'T OF GROUND LEASE AGREEMENT
This Assimment of Ground Lease Agreement ("/Visigurnete) is entered into by and between
RR Ventures, LLC, an Arizona limited liability company ("Assignor"), and ret Holdings, LLC,
an Arizona limited liability company ("Assignee"). This Assignment will he effective cai the 01M
of escrow for the Fade of the ranch commonly known as 'IT Ranch (aka Teo Ranch) located in
Maricopa County, Arizona (Yavapai Tide Ageney, Inc, Escrow No, 08021254-830).
Assignor leases as lessor, certain real property to Ivlaricopa County, a political subdivision
of the State of Ariz_ ona, for a radio facility site and helipal site under that certain "Ground Lease
Aerliont Between ThR, Ventures, LLC, Lessor, and Maricopa County, Lessee, Ground Lease No,
L-7460" ("Ground Lease"). As part of the sale of the TT Ranch (aka Tee Rauch) as described above,
Assignor has agreed to assign the Ground Lease Agreement to Assignee. Assignor and Assignee
agree as foliows:
I. Assignment. Assignor hereby conveys, grants and assigns all of Assignor's rights,
title and interest, legal and equitable, present and future, in and under the Ground Lease Agreement
to Assignee and Assignee's successors and assigns. Assignor warrants andrepTeSentS that Assignor
is the sole holder of the Lessor's rights under the Ground Lease Agreement, has full right and
authority to execute and assign the Lessor's rights under the Ground Lease Agreement and the
Ground Lease 14n-cement is in thll force and effect without default,
