AMENDMENT No. 2 TO FACILITIES USE REVOCABLE LICENSE AGREEMENT
BETWEEN
KEOGH HEALTH CONNECTION
AND
MARICOPA COUNTY
This Amendment No. 2 (“Amendment”) to the Facility Use Revocable License Agreement
No. P-50254 by and between Keogh Health Connection, an Arizona non-profit corporation
(“Contractor”) and Maricopa County, a political subdivision of the State of Arizona (“County”),
executed on November 14, 2014 and subsequently amended on October 5, 2016 (collectively, the
“Agreement”) is made and entered into by and between Contractor and County, sometimes
collectively hereinafter referred to as the “Parties” and individually as the “Party.”
RECITALS
A. The Agreement is for use of County leased space at 1645 E. Roosevelt Street, Phoenix,
AZ 85006.
B. The term of the Agreement expires on October 31, 2018.
C. The Parties now mutually desire to amend the Agreement to extend the Agreement term
and update County’s notice address.
AGREEMENT
NOW THEREFORE, in consideration of the foregoing and other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, Contractor and
County agree to enter into the Amendment and amend the Agreement as follows:
1. The accuracy of the foregoing Recitals is acknowledged and the Recitals are hereby
incorporated into this Agreement.
2. Capitalized terms used in this Amendment without definition shall have the meanings
assigned to such terms in the Agreement, unless the context expressly requires otherwise.
3. The Agreement term is hereby extended and will commence on November 1, 2018 and
continue until terminated as provided for in the Agreement. This Agreement is subject to
termination pursuant to the provisions of A.R.S. §38-511. This Agreement may be
terminated by either Party by giving the other Party at least a 30-day written notice.
4. Article 22.1 of the Agreement is updated as follows:

5. The effective date of this Amendment is the date of execution by the Maricopa County
Board of Supervisors.
6. The foregoing paragraphs contain all the changes made by this Amendment. All other
terms and conditions of the Agreement remain the same and in full force and effect.
