AMENDMENT No. 4
To
AGENDA MANAGEMENT SOFTWARE SYSTEM AND
ASSOCIATED SERVICES
Between
Hyland Software, Inc.
Maricopa County, Arizona
WHEREAS, Maricopa County, Arizona ("County") and Hyland Software, Inc.
and ("Contractor") have entered into a Contract for Agenda Management Software
System and Associated Services dated August 27, 2014 ("Agreement") and effective
August 1, 2014, County Contract No. 13067-SS.
WHEREAS, County and Contractor previously agreed to modify the Agreement
in Amendment #1 on March 27, 2015.
WHEREAS, County and Contractor previously agreed to modify the Agreement
in Amendment #2 on August 2, 2016.
WHEREAS, County and Contractor previously agreed to modify the Agreement
in Amendment #3 on July 26, 2017.
WHEREAS, County and Contractor have agreed to further modify the Agreement
by changing certain terms and conditions;
NOW, THEREFORE, in consideration of the foregoing, and for other good and
valuable consideration, receipt of which is hereby acknowledged, the parties hereto agree
as follows:
Section 1.0 Term
Both parties agree to amend the language in Section 1.2 per the following.
The County may, at its option and with the written agreement of the Contractor,
extend the term of this Contract for three four additional terms of one year each, up to
a maximum of three four (34) years. In order to exercise such option, the County
must notify the Contractor in writing of its intent to extend the Contract term at least
thirty (30) calendar days prior to the expiration of the original contract term, or any
additional term thereafter.
Now, therefore, in consideration of the forgoing, the parties agree to the following.
Exercise the renewal option in Section 1.2 for one (1) year to expire July 31, 2019.

The Contractor and County acknowledge that the annual Hosting Fee is $164,144.00
less taxes for this renewal term (August I, 2018 to July 31, 2019), pursuant to Exhibit
A "Pricing"
ALL OTHER TERMS AND CONDITIONS REMAIN UNCHANGED,
IN WITNESS WHEREOF, this Amendment is executed on the date set forth below when
executed by Maricopa County.
