1

Terms and Conditions
Statement of Work: In accordance with 24 CFR § 92 and this Agreement, you agree to complete,
or cause to be completed, the project described in Exhibit A, Attachment 5: Project Description
and all Attachments to Exhibit A (“Work”), which outline the tasks you will perform,
requirements you or your contractors, consultants and agents will meet, a schedule for completing
the tasks, and the budget you will follow.
1. Project. The Work you are responsible to complete under this Agreement can only be
modified by an Amendment signed by both parties as defined herein. In performing the
Work under this Agreement, you will be required to execute a Promissory Note, secured
by a Deed of Trust, and a Declaration of Covenants, Conditions and Restrictions prior to
distribution of funds. You will hold right, title, and interest in the property that is the site
of the Project.
As described in Exhibit A: Statement of Work and all Attachments to Exhibit A, the
HOME funding you will receive under this Agreement will be used for rehabilitation of
twenty (20) HOME assisted units, within a forty-eight (48) unit duplex housing cluster
located at 9209 Calle Tomi, Guadalupe, AZ 85283, known as the Father Fidelis Kuban
Project. You will perform the Work in accordance with applicable regulations set forth in
24 CFR § 92.
You will furnish all labor, materials, services, supervision, tools, equipment, licenses, and
permits necessary to complete the Work.
2. Work. You shall provide, or arrange for the provision of, all such services as are necessary
for the Project and construction of the Project as more fully described in Exhibit A, but
including without limitation the following services (collectively the "Statement of Work"):
2.1 HAMC shall commit funds to a specific local project in performance of and in
accordance with the terms of this Agreement by June 30, 2018. For the purposes of
this paragraph, “commit” shall have the same meaning as 24 CFR 92.2(2)(i). If
HAMC fails to commit the funds prior to June 30, 2018, funds may no longer be
available and may be reallocated by the County.
2.2 HAMC shall expend HOME funds in performance of and in accordance with the
terms of this Agreement by December 1, 2019. If HAMC fails to expend HOME
funds in performance of and in accordance with the terms of this Agreement, the
funds will no longer be available.
2.3 HAMC shall comply with all underwriting and subsidy layering guidelines,
rehabilitation standards, and affordability requirements.
2.4 HAMC shall complete timely environmental reviews.
2

2.5 Management and Ownership Services. HAMC shall complete all management
services including, without limitation, the services listed on Exhibit A,
Attachment 1 (the "Management and Ownership Services").
2.6 Construction Services. HAMC shall complete all construction services listed on
Exhibit A, Attachment 2 (the "Construction Services").
2.7 Social Services. HAMC shall provide social services for the residents of the Project.
Specifically, you shall use your best efforts, subject to appropriate funding, to
perform such services or engage a local third party to perform the services described
on Exhibit A, Attachment 3 (“Social Services”).
2.8 HAMC shall require all subcontractors working on the Project, including the
General Contractor, Architect and Engineer and all their subcontractors,
(collectively, the “Subcontractors”) to comply with Section 3 of the Housing and
Urban Development Act of 1968, as amended, 12 U.S.C. § 1701(u), further set forth
in this Agreement. All such requirements shall be set forth in a rider (the "Rider")

and all other applicable Federal, state and local laws and regulations pertaining to
labor standards insofar as those acts apply to the performance of this Agreement.
HAMC shall maintain documentation that demonstrates compliance with hour and
wage requirements of this part. Such documentation shall be made available to the
County for review upon request.
3. Term. The term of this Agreement is from November 8, 2017 until project completion.
The Father Fidelis Kuban Project of HAMC funded by this Agreement must remain
affordable for a period of seventeen (17) years (“Period of Affordability”). The Period of
Affordability will begin on the date that the Completion Report is entered in HUD’s
Integrated and Disbursement System (IDIS) and will end seventeen (17) years from that
completion date. Throughout the Period of Affordability, twenty (20) County HOME
assisted units must meet the requirements set forth in this Agreement including, but not
limited to the requirements set forth in 24 CFR § 92.252. If the housing does not meet the
affordability requirements for the specified time period, all HOME funds must be repaid
to the County.
4. Contract Amount. Subject to your compliance with this Agreement and the availability
of funds, we will provide you with HOME funds not in excess of $450,000 (“Contract
Amount”) as a loan at a two percent (2%) interest annually, for a term of seventeen (17)
years. The loan shall be paid in annual payments within sixty (60) days of the close of the
3

fiscal year beginning the year after project completion in IDIS. Loan terms may be subject
to a final underwriting after the County has received the closing documents from the Rental
Assistance Development (“RAD”) conversion. The performance and completion of the
Work must be in accordance with the budget outlined in Exhibit A, Attachment 6:
Budget and HOME Maximum Per-Unit Subsidy as set forth in Exhibit A, Attachment 8:
HOME Subsidy Program Limits. The terms of the loan are outlined in this Agreement
and will be secured by Exhibit B: Declaration of Covenants, Conditions and
Restrictions. Failure to meet the obligations of this Agreement will result in a repayment
of the HOME funds granted to you. This loan shall be non-recourse to HAMC.
5. Eligible Activities. In the completion of the Work, you will be responsible for ensuring
that only approved HOME eligible activities are performed in accordance with 24 CFR §
92 and this Agreement.
6. Payment.
6.1 Subject to the provisions of this Agreement and the requirements of 24 CFR § 92,
we will reimburse you for your eligible costs in performing the Work. HAMC will
receive the Contract Amount as a reimbursement of eligible expenses under HOME
program regulations. 24 CFR Sections 92.205 through 92.215 outline expenses and
activities that are generally eligible for reimbursement under the HOME program
however, for the purposes of this Agreement, the parties agree that eligible
expenses subject to reimbursement will only be rehabilitation, and development
fees.
6.2 You will not request the disbursement of funds until the funds are needed for
payment of eligible costs and expenses and the amount of the disbursement request
must be limited to the amount needed for payment of eligible costs. The amount of
each request must be limited to the amount needed and set forth in this Agreement.
Unless an amendment to the Agreement is signed by the parties, we will not pay
you any amount of money above the sum listed in Section 4 of the Agreement.
6.3 Claims. To receive reimbursement of eligible expenses, you must submit to us a
properly executed claim. A properly executed claim must include all of the
following: (i) an accurate payment request form, (ii) a completed matching
contribution form as outlined in the Agreement, and (iii) supporting documentation
for the claim. For more information on the payment procedures and the necessary
forms for a properly executed claim see Exhibit C: Payment Procedures and all
Exhibit C Attachments. The supporting documentation necessary will vary
depending on the nature of each expense, but examples of appropriate
documentation include, but are not limited to: canceled checks, invoices,
statements, unconditional lien releases with payment to subcontractors and receipts.
We will review each claim upon receipt to ensure your compliance with applicable
law and this Agreement. The approval of payment for a claim is at our reasonable
discretion. A claim that is not properly executed will not be approved for payment.
If a claim is approved, we will disburse payment in the manner, amount, increment,
4

and timeframe determined at our reasonable discretion.
6.4 Program Income. All program income must be returned to the County. Program
income is defined as all gross income received by HAMC directly generated from
the use of funds provided by this Agreement or matching contributions. When
program income is generated by housing that is only partially assisted with HOME
funds or matching funds, the income shall be prorated to reflect the percentage of
HOME fund used. For this Agreement, program income will only be generated if
the property ceases to function as an affordable HOME assisted property through
sale or otherwise during the period of affordability, the seventeenth (17th)
anniversary of the date the completion report is entered into IDIS. HOME Program
Income must be returned to the County within thirty (30) business days of receipt.
Program Income includes, but is not limited to: [1] proceeds from the disposition
by sale or long-term lease of real property acquired, rehabilitated or constructed
with HOME funds or matching contributions, [2] gross income from the use or
rental of real property, owned by HAMC that was acquired, rehabilitated, or
constructed with HOME funds or match contributions, less cost incidental to
generation of the income; [3] payments of principal and interest on loans made
using HOME funds or match contributions; [4] Proceeds from the sale of loans
made with HOME funds or matching contributions; [5] Proceeds from the sale of
obligations secured by loans made with HOME funds or matching contributions;
[6] Interest earned on program income pending its disposition; and [7] Any other
interest or return on the investment permitted under 24 CFR 92.205(b) of HOME
funds or matching contributions. (Program income does not include gross income
from the use, rental or sale of real property received by the project owner,
developer, or sponsor, unless the funds are repaid to the County under the terms of
Exhibit B: Declaration of Covenants, Conditions and Restrictions.
6.5 Matching. The funds provided under this Agreement are subject to the matching
contribution required under 24 CFR § 92.218. You will provide qualified matching
funds in the amounts shown in Exhibit A, Attachment 6. Your matching funds
will be in a type determined at our sole discretion, that is acceptable under 24 CFR
§ 92.220. You will maintain throughout the Term of this Agreement a matching
contribution log form (See Exhibit C, Attachment 2: Match Log Form) that you
will make available to us, at our request.
6.6 Availability of Funds. Our reimbursement of your eligible costs is contingent upon
the availability of funds. If any action is taken by HUD, any State agency, federal
department or any other agency or instrumentality to suspend, decrease or terminate
its fiscal obligation under, or in connection with this Agreement, the County may
amend, suspend, decrease or terminate its obligations under or in connection with
this Agreement. In the event of termination, the County shall be liable for payment
only for services rendered prior to the effective date of the termination, provided
that such services performed are in accordance with the provisions of this
Agreement. The County shall give written notice of the effective date of any
suspension, amendment, or termination under this Section at least thirty (30)
5

calendar days in advance of such suspension, amendment, or termination.
6.7 Liability. We are not liable to you for any purchases or contracts that you enter into
in anticipation of receiving payments under this Agreement.
6.8 Termination or Expiration. Upon the termination or expiration of this Agreement,
you will be entitled only to payment for the Work performed up to the date of the
termination or expiration, as well as any authorized expenses already incurred up
to that date. In accordance with this Section, we will make final payment within
thirty (30) days of our receipt of your approved, final, properly executed claim.
7. Construction Standards.
7.1 General. You will perform all rehabilitation work under this Agreement in
accordance with the County’s rehabilitation standards and the most current building
codes and ordinances adopted by Maricopa County including, but not limited to:
 2012 International Building Code with Local Additions and Addenda
 2012 International Residential Code
 2012 International Plumbing Code

7.2 You will also ensure that the Work complies with the standards set forth in 24 CFR
§ 92, including without limitation, 24 CFR § 92.251 and the lead-based paint
requirements of 24 CFR § 92.355 and those set forth in part 35, subparts A, B, J,
K, M and R of Title 24. The Property must comply with 24 CFR § 92.251
throughout the Period of Affordability. You warrant to us that all materials and
equipment (including appliances) acquired under this Agreement will be new and
of good quality. You also warrant that any new construction performed in
conjunction with the Work will conform to the following: (i) Section 504 of the
Rehabilitation Act of 1973 (24 CFR § 8); (ii) the Fair Housing Act, as amended (24
CFR § 100); (iii) the requirements of the Model Energy Code published by the
International Code Council; and (iv) all applicable County of Maricopa building
codes. For each housing unit in any way assisted under this Agreement, you will
certify that the unit meets all property standards, described in Section 7 throughout
the Period of Affordability.
7.3 Inspections. The project must meet the property standards in § 92.251, upon
completion and must maintain the housing compliance and in accordance with 24
CFR § 92, including without limitation § 92.251 as required by 24 CFR § 92.504
during the Period of Affordability.
6

8. Affordability.
8.1 General. You will ensure that all housing assisted under this Agreement meets the
affordability requirements of 24 CFR § 92, including without limitation, 24 CFR §
92.252, as applicable, as described in Exhibit D: Affordability Requirements. In
accordance with 24 CFR § 92.503, you will repay to us any HOME funds provided
to you that is invested in housing that does not meet the affordability requirements
or is invested in a project that is terminated before completion. Failure to comply
with the affordability requirements is a material breach of this Agreement and will
require you to repay us all funds invested in the non-compliant housing unit(s)
during the affordability period.
8.2 Surviving Provision. Section 8 of this Agreement survives pending completion of
final audits and then terminates at the conclusion of the Period of Affordability for
each housing unit assisted in conjunction with the Work.
8.3 Recaptured Funds. All funds provided are subject to recapture if the housing
assisted in conjunction with the Work no longer meets the affordability
requirements. All recaptured funds will be forwarded to us in accordance with 24
CFR § 92, including without limitation, 24 CFR § 92.503.
9. Records and Reports.
9.1 General. Pursuant to 24 CFR § 92, including without limitation, 24 CFR § 92.508
and this Agreement, you will maintain all applicable records and reports related to
the Work for six (6) years after all HOME program requirements are satisfied. You
will accurately maintain and annually provide records demonstrating that:
a. You are the entity that holds right, title, and leasehold interest in the HOME
properties purchased under this Agreement.
b. Participating residents served under this Agreement meet the income
requirements of 92.252 and other criteria required by Federal law;
c. No unlawful discrimination is occurring in the solicitation or selection
process of low-income persons or groups; and

9.2 Project Completion Report. A Project Completion Report is required to be
submitted to the County upon and final inspection which includes approved
Uniform Property Conditions Standards Inspection (UPCS) for each County
HOME unit (see Exhibit C, Attachment 4 and Exhibit E). Within six (6) months
of final completion of the Project you will have to demonstrate to the County that
each HOME property meets the UPCS at the time of initial occupancy and
throughout the affordability period.
9.3 Reports. You will submit to us a quarterly Contract Performance Report and Match
log.
7

9.4 Reporting Obligation. Your obligation to file reports continues throughout the
Period of Affordability; even if you are paid the total Contract Amount for the Work
prior to the expiration of Period of Affordability, you will still submit the required
reports in accordance with Section 9 of this Agreement. Your submission of a late
report or your failure to deliver a report to us is a failure of your obligations under
this Agreement. You will provide to us copies of the reports when they are due to
us under this Agreement or at any time upon our request.
9.5 Record Retention.
a. This provision applies to all financial and programmatic records, supporting
document, statistical records and other records of the HAMC that are related
to this Agreement.
b. HAMC shall retain all records relevant to this Agreement as prescribed by
24 CFR § 92.508 for a minimum of six (6) years after expiration of the
period of affordability or until after the resolution of any audit questions
which could be more than six (6) years, whichever is longer, and the
Department, federal and State auditors and any other persons duly
authorized by the Department shall have full access to, and the right to
examine, copy and make use of any and all of the records.
9.6 Financial Records. You will maintain all financial records and accounting systems
required by applicable federal regulation or directive. In addition, you will provide
annual audited financial statements or required single audit reports as applicable.
You agree that we and HUD may monitor, audit, and inspect your records and
accounting systems at any time in accordance with Section 10 of this Agreement.
9.7 Changes to Reporting Requirements. We reserve the right to change the
reporting requirements required under this Agreement as is reasonably necessary
to come into compliance with applicable HOME program regulations. You agree
to come into compliance with such reasonable changes upon receipt of notice from
us or as soon as reasonably possible thereafter.
9.8 Surviving Provision. Section 9 of this Agreement survives the expiration or
termination of this Agreement and the conclusion of the Period of Affordability for
each housing unit assisted in conjunction with the Work for a period of one year.
10. Inspections and Audits. In order to determine compliance with this Agreement, you agree
to allow the County and HUD, as well as representatives of both agencies, to perform
random inspections and audits upon seven (7) days written notice to you. Inspections and
audits under this Agreement require that you make your offices, program, and related
records available to us during normal business hours. Provided, however, County and HUD
will make reasonable efforts not to disrupt the daily operation of HAMC. Records related
to the performance of your Work under this Agreement may be inspected including, but
not limited to, the records outlined in Section 9 of this Agreement. You agree that you will
cooperate during any inspection or audit. The location of the audit will be chosen by the
agency performing the audit. Nothing herein will be construed to require access to
8

privileged or confidential information as set forth in federal or state law.
11. Indemnification.
Each Party (as "indemnitor") agrees to indemnify, defend, and hold harmless the other
Party (as "indemnitee") from and against any and all claims, losses, liability, costs, or
expenses (including reasonable attorney's fees) (hereinafter collectively referred to as
"claims") arising out of the negligent performance of this Agreement, but only to the extent
that such claims which result in vicarious/derivative liability to the indemnitee are caused
by the act, omission, negligence, misconduct, or other fault of the indemnitor, its officers,
officials, agents, employees, or volunteers.
12. Audits and Reviews.
As a recipient of HOME funds we are subject to audit and review to determine compliance
with applicable laws and regulations. You shall, at your own expense, file with the Human
Services Department, Housing and Community Development Division by March 30th, of
each year either audited financial statements prepared in accordance with federal single
audit requirements; or, financial statements prepared in accordance with generally accepted
accounting principles audited by an independent certified public accountant. As a recipient
of our HOME funds, you are also subject to the federal audit requirements of the Single
Audit Act of 1984, as amended (Pub. L. No. 98-502) (codified at 31 U.S.C. §§ 7501, et
seq.). You shall comply with 2 CFR § 200 et seq., as applicable, and 24 CFR §§ 44, 84,
85, 92 and 570 as applicable. Upon completion, such audits shall be made available for
public inspection. Audits shall be submitted within the twelve (12) months following the
close of the fiscal year. Corrective action on such matters listed in the report(s) shall be
taken within six (6) months of the date of receipt of the reports. The Department shall
consider sanctions as described in 2 CFR § 200 et seq., if you do not comply with the audit
requirements.
13. Audit Disallowances.
13.1 HAMC shall, upon written notice thereof, reimburse the County for any payments
made under this Agreement that are disallowed by a federal, State or County audit
in the amount of the disallowance, as well as court costs and attorneys’ fees the
County spends to pursue legal action relating to a disallowance. Court costs and
attorneys’ fees incurred will be specifically identified as applicable to the
recovery of the disallowed costs in question.
13.2 If the County determines that a cost for which payment has been made is a
disallowed cost, the Department will notify you in writing of the disallowance and
the required course of action, which shall be at the option of the Department,
either to adjust any future claim submitted by HAMC by the amount of the
disallowance or to require immediate repayment of the disallowed amount by
HAMC issuing a check payable to the County.
9

14. Suspension and Termination.
14.1 Termination for Convenience. Except as provided in 24 CFR § 85.43, either party
may terminate this agreement for convenience at any time, as set forth at 24 CFR §
85.44, by giving sixty (60) days written notice to the other party of such
termination. Both Parties shall agree upon the termination conditions including the
effective date of the termination. The party initiating the termination shall notify
the other party in writing stating the reasons for such termination. In the event of a
termination in accordance with 24 CFR § 85.44, the party seeking termination shall
give the other 60 business-days prior written notice. The notice shall be given by
personal delivery or by registered or certified mail, postage prepaid and return-
receipt requested.
14.2 Termination or Suspension for cause. In accordance with 24 CFR § 85.43, we
may suspend or terminate HOME funds and seek the return of unexpended funds
(less just compensation for work satisfactorily competed that to date, has not been
paid), or the reimbursement of funds improperly expended, or the recovery of funds
improperly acquired if you materially fail to comply with any term of this
Agreement or if you fail to maintain a good faith effort to carry out the purpose of
this Agreement. Instances of a material failure under this Agreement will include,
but are not limited to:
a. Failure to comply with any of the federal, state or local rules, regulations or
provisions referred to, in the Agreement or the statutes, regulations,
executive orders and HUD guidelines, policies or directives as may become

receivership proceeding, you make an assignment for a creditor, or there is
any similar action that affects your capability to perform under the
Agreement;
j. You are the subject of a petition for involuntary bankruptcy not removed
within (sixty) 60 days; or
k. Conducting business in an illegal manner.
l. The County has the right to terminate this Agreement upon twenty-four (24)
hour notice when the County deems the health or welfare of the service
10

recipients are endangered or your non-compliance jeopardizes funding
source financial participation.
m. Notwithstanding anything to the contrary contained herein, prior to County
taking any action pursuant to this Section 16.2, County shall provide written
notice of HAMC’s material failure under this Agreement to AHP Housing
Fund 106, LLC (the “Investor Member”) at the address provided in Section
49. The Investor Member shall have the right to cure such material failure
within 15 days after receipt of written notice by County.
14.3 Disposition of Funds upon Suspension/Termination: Notwithstanding the
suspension or termination of this Agreement, or the final determination of the
proper disposition of funds, you shall, without intent to limit or with restrictions,
be subject to the following:
a. Revocation of all awards of funding and any approvals related to the Project
described in the Special Provision or Work Statement. Thereby, any
entitlements to compensation after suspension or termination of this
Agreement are similarly revoked and unavailable.
b. Continued liability or responsibility associated with the Special Provision
or Work Statement.
c. Acknowledge that suspension or termination of this Agreement does not
affect or terminate any rights against HAMC at the time of suspension or
termination, or that may accrue later. Nothing herein shall be construed to
limit or terminate any right or remedy available under contract or rule.
Wavier of a breach or default of any term, covenant, or condition of this Agreement
or any federal, state, or local law, rule, or regulation shall not operate as a waiver
of any subsequent breach of the same or any other term, covenant, condition, law,
rule, or regulation.
15. Arizona Law.
15.1 A.R.S. § 38-511. We may terminate this Agreement pursuant to A.R.S. § 38-511,
within three (3) years after the execution of this Agreement, without penalty or
further obligation, if any person significantly involved in initiating, securing,
drafting, or creating the Agreement for us becomes an agent or employee for you.
Such termination is effective when you receive written notice of the termination.
15.2 A.R.S. § 42-17106. Pursuant to A.R.S. § 42-17106, we are a governmental agency
which relies upon the appropriation of funds by our governing body to satisfy our
obligations. We represent that we intend to pay all monies due under this
Agreement if such funds have been legally appropriated. If we reasonably
determine that we do not have the funds to meet our obligations under this
Agreement, we will have the right to terminate the Agreement without penalty on
the last day of the fiscal period for which funds were legally available. In the event
of such termination, we agree to provide written notice to you of our intent to
terminate thirty (30) days prior to the termination date.
11

15.3 A.R.R §11-952. We agree that this Agreement constitutes an intergovernmental
agreement as defined by A.R.S. §11-951 et seq. and is subject to the terms and
conditions of A.R.S. 11-952.
16. Remedies.
Each party may exercise all available legal and equitable rights and remedies on account
of any breach or default of this Agreement, including, without limitation, an action for
specific performance of this Agreement or the non-defaulting party may terminate the
Agreement and the termination will be effective immediately upon notice to the defaulting
party or as provided under this Agreement or applicable law. Neither party will be liable
for incidental, special, or consequential damages in terminating this Agreement.
17. Reversion of Assets. Upon the expiration or termination of this Agreement, you must remit
to us any HOME funds on hand at the time and any accounts receivable attributable to the
use of HOME funds.
18. Anticipatory Repudiation. Whenever we in good faith have reason to question your intent
to perform, we may demand that you give a written assurance of your intent to perform. In
the event that the demand is made and you do not give us written assurance within forty-
five (45) days after receipt of the demand, we may treat this failure as an anticipatory
repudiation of the Agreement and a material failure of this Agreement.
19. Religious Organizations/Activities. You may use HOME funds as described in 24 CFR
§ 92.257. In the performance of the Work, you may not engage in inherently religious
activities, such as worship, religious instruction or proselytization. If you conduct such
activities, the activities must be offered separately, in time or location, from the assistance
funded under this Agreement, and participation must be voluntary for the beneficiaries of
the assistance provided. You will not, in providing program assistance, discriminate against
a program beneficiary or prospective program beneficiary on the basis of religion or
religious belief. You may not use HOME funds for the acquisition, construction or
rehabilitation of structures to the extent that those structures are used for inherently
religious activities. You may use HOME funds for the acquisition and construction or
rehabilitation of structures only to the extent that those structures are used for conducting
eligible activities under the HOME program. Where a structure is used for both eligible
and inherently religious activities, you may not use HOME funds in amounts that exceed
the cost of those portions of the acquisition and construction or rehabilitation that are
attributable to eligible activities in accordance with the cost accounting requirements
applicable to HOME funds in 24 CFR § 92.
20. Independent Contractor. Both parties agree that in performing your respective duties and
responsibilities under this Agreement, you are an independent contractor and all persons
