SOLE SOURCE CONTRACT NO. 11134-SS
Between
CompuCom Systems, Inc.
Maricopa County, Arizona
WHEREAS, Maricopa Comity, Arizona ("County") and CompuCom Systems,
Inc. ("Contractor") have entered into a Contract for the purchase of hardware
maintenance and support of the Bull Novascale system dated December 14, 2011
("Agreement") and effective December 17, 2011.
WHEREAS, the parties agreed to Amendment No. 1 effective May 23, 2012 to
the Contract by changing certain terms and conditions
WHEREAS, County and Contractor have agreed to further modify the Contract
by changing certain terms and conditions;
NOW, THEREFORE, in consideration of the foregoing, and for other good and
valuable consideration, receipt of which is hereby acknowledged, the parties hereto agree
as follows:
Section 1.0 Contract Term
Both parties agree to amend the language in section 1.2 per the following.
The County may, at its option and with the agreement of the Contractor, extend the
term of this Contract for additional terms up to a maximum of thfeefour (34) years,
(or at the County's sole discretion, extend the contract on a month-to-month basis for
a maximum of six (6) months after expiration). The County shall notify the
Contractor in writing of its intent to extend the Contract term at least thirty (30)
calendar days prior to the expiration of the original contract term, or any additional
term thereafter.
Now, therefore, in consideration of the forgoing, the parties agree to the following.
Exercise the renewal option in Section 1.2 for one (1) year to expire December 16,
2018.
Exhibit A Pricing
Both parties agree to replace the current pricing in Exhibit A with the attached pricing
until December 16, 2018.
