ASSIGNMENT AND ASSUMPTION OF FACILITIES USE AGREEMENT
This assignment is executed as of this ______ day of ____________, 2017, by
MARICOPA COUNTY, ARIZONA, a political subdivision of the State of Arizona (“Assignor”
or “County”), and HUMAN SERVICES CAMPUS, INC., an Arizona non-profit corporation
(“Assignee”).
Assignor hereby transfers and assigns all of its rights, obligations and interest in that
certain Facilities Use Agreement No. P-50244 approved by the Maricopa County Board of
Supervisors on October 13, 2014, and subsequently amended September 16, 2015, September 7,
2016, and September ___, 2017 (“Agreement”) by and between the ARIZONA BOARD OF
REGENTS, a body corporate ("ABOR"), for and on behalf of: (1) Arizona State University
(“ASU”); (2) Northern Arizona University (“NAU”); and (3) University of Arizona (“UA”), and
County to Assignee. The Agreement, which is attached hereto and made a part hereof in its
entirety as Exhibit “A”, is for use of premises at 220 S. 12th Avenue, Phoenix, AZ 85007
(“Premises”). ABOR, on behalf of each University, and ASU, NAU and UA are referred to
herein individually as a "Contractor" and collectively as the "Contractors". ABOR, ASU,
NAU, UA, the County, and Assignee are sometimes collectively referred to herein as the
“Parties” or individually as a “Party.”
RECITALS:
A. The Contractors are providing free primary healthcare and mental health services to
homeless individuals at the Premises.
B. The County is conveying the Premises to Assignee on or about October 4, 2017.
C. All Parties to this Assignment and Assumption of Facilities Use Agreement desire that
the Contractors continue to provide the above referenced services to individuals
subsequent to the transfer of the Premises.
D. Assignee’s execution of the statement of consent to assignment, incorporated into this
document, is acknowledgement of Assignee’s written acceptance of this assignment
and allows Assignee to legally assume responsibility, replace Assignor as licensor, and
release Assignor from all obligations, duties, and responsibilities pursuant to Facilities
Use Agreement No. P-50244.
NOW, THEREFORE, in consideration of Ten Dollars ($10.00) and other good and
valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Assignor
hereby transfers and assigns to Assignee all right, obligations, and interest of Assignor as
licensor in and to the above mentioned Agreement, and Assignee hereby assumes all obligations
of the Assignor as licensor under the Agreement.

By execution hereof, Assignor and Assignee hereby give notice to ABOR, as licensee
under the Agreement, of said transfer of interest, and that ABOR is hereby instructed to send all
future correspondence to Assignee at the following address:

This document may be executed in any number of counterparts, each of which may be
executed by any one or more of the Parties hereto, but all of which shall constitute one
instrument, and shall be binding and effective when all Parties hereto have executed at least one
counterpart.
The terms and provisions of this agreement shall be binding upon and inure to the benefit
of the respective parties hereto and their respective successors and assigns.

ACCEPTANCE OF ASSIGNMENT OF FACILITIES USE AGREEMENT
By execution of this statement HUMAN SERVICES CAMPUS, INC., as Assignee of that
certain Agreement known as Facilities Use Agreement No. P-50244, a copy of which is hereby
attached, herein acknowledges and accepts the assignment of the rights, obligations, and interest
of the Assignor. The Assignee further releases and holds harmless Maricopa County from any
further duties, responsibilities and liabilities that would accompany said license for the existing
term and any extensions thereof.
