FIRST AMENDMENT TO CONTRACT FOR SERVICES

THIS FIRST AMENDMENT TO CONTRACT FOR SERVICES (this “Amendment”) is
made and entered into as of the signature dates set forth below, to be effective as of July 1,
2017 (the “Amendment Effective Date”), by and between MARICOPA COUNTY, by and through
the DEPARTMENT OF PUBLIC HEALTH (“County”) and BANNER HEALTH, an Arizona
nonprofit corporation on behalf of itself and as agent for its consolidated affiliates (“Hospital”).
The Hospital and the County are collectively referred to as the “Parties” and individually as a
“Party”.
W I T N E S S E T H:
WHEREAS, County and Hospital are parties to that certain Contract for Services dated
effective November 1, 2014 (the “Contract”), pursuant to which certain Service Goals were
agreed to by the Parties as more fully set forth in the Contract; and
WHEREAS, in accordance with the terms and conditions hereof, the Parties desire to
modify certain provisions of the Contract; and
WHEREAS, the Parties desire to evidence their agreement to these modifications by
execution of this Amendment.
NOW, THEREFORE, for and in consideration of the mutual covenants and promises
contained herein, the receipt and sufficiency of which are hereby acknowledged, it is
understood and agreed upon by the Parties hereto as follows:
1. Amendment of the Contract.
a. As of the Amendment Effective Date, Coversheet, 3. Contract Amount is
amended to increase the amount to $600,000.00.
b. As of the Amendment Effective Date, Coversheet, 6. Expiration Date is amended
to extend the term of the Contract until June 30, 2020, subject to earlier
termination as may be provided in the Contract.
c. As of the Amendment Effective Date, Section IV(1)(B) is amended to increase
the not to exceed (NTE) amount to $600,000.00 for the life of the Contract.
d. The notice addresses for Hospital listed on both the Coversheet and Section
IV(3) shall be deleted in their entireties and replaced with the following:

2. Contract Effective. Except as otherwise expressly modified herein, all terms and
conditions of the Contract shall remain unmodified and in full force and effect.
3. Precedence of Amendment. In the event of a conflict between the terms and conditions
of this Amendment and the terms and conditions of the Contract, the terms and
conditions of this Amendment shall govern and control.
4. Capitalized Terms. All capitalized terms used in this Amendment and not otherwise
defined herein shall have the meaning ascribed to such terms in the Contract.
5. Incorporation. This Amendment shall be attached to, and made a part of, the Contract.
6. Counterparts. This Amendment may be executed in one or more copies or
counterparts, each of which when signed shall be an original, but all of which together
shall constitute one instrument. Signatures submitted via telecopy or electronic or digital
signatures shall have the same force and effect as original signatures and, as such,
shall be valid and binding upon the Parties.
7. Corporate Authority. The individual(s) executing this Amendment on behalf of, or as a
representative for a corporation or other person, firm, partnership or entity, represents
and warrants that he or she is duly authorized to execute and deliver this Amendment
on behalf of the corporation, person, firm, partnership or other entity and that this
Amendment is binding upon the entity in accordance with its terms.

IN WITNESS WHEREOF, the Parties hereto have executed this Amendment,
