AMENDMENT No. 1 to LICENSE AGREEMENT
For USE of REAL PROPERTY
This Amendment No. 1 (“Amendment”) to License Agreement for Use of Real Property, No. P-
50168, is entered into by and between the City of Chandler, a municipal corporation (“Licensor”)
and Maricopa County, a political subdivision of the State of Arizona (“Licensee”).
RECITALS
A. Licensor and Licensee entered into that certain License Agreement No. P-50168 dated
August 8, 2012, which subsequently was ratified by the City Manager for the City of
Chandler on January 8, 2015 (“License Agreement”), whereby Licensee was granted non-
exclusive access by Licensor, for an initial term of five (5) years, at 1913 N. Alma School
Road, Chandler, AZ, (the “Monitor Site”).
B. The term of the Agreement expires August 8, 2017.
C. Licensor and Licensee desire to amend the License Agreement to extend the term as
hereinafter provided.
AGREEMENTS
NOW, THEREFORE, the parties agree as follows:
1. The Recitals are incorporated herein by this reference.
2. The term of the License Agreement is hereby extended for approximately five (5) years, to
commence retroactively August 9, 2017 and expire July 31, 2022. This Amendment is
subject to the provisions of A.R.S. §38-511, the provisions of which are incorporated herein
by this reference.
3. This Amendment may be executed in any number of identical counterparts all of which,
when taken together, will constitute one and the same instrument. Delivery of this
Amendment may be accomplished by electronic transmission of an executed counterpart
of this Amendment. Signatures thus transmitted will be as valid as manual signatures for
all purposes.
4. Section 13 of the License Agreement is amended to indicate that any notice given to
Licensor shall also include a copy thereof delivered or mailed to the Chandler City
Attorney, at P.O. Box 4008, MS 602, Chandler, AZ 85244.

5. Except as specifically amended herein, all other terms and conditions of the License
Agreement shall remain in full force and effect. In the event of any conflict between the
terms of this Amendment and the terms and provisions of the License Agreement, the terms
and provisions of this Amendment will supersede control.
