This Agreement made and entered into this day of ,20 , by
and between the County of Maricopa, a political subdivision of the State of Arizona,
hereinafter referred to as COUNTY, and I15 th AVENUE LLC, an Arizona limited liability
company, hereinafter referred to as the GRANTOR:
-WHEREAS, the Owners of the following described property, situated in the County of
Marieopa, State of Arizona, which description represents the area desired by the County for the
purpose of an Embankment Construction and Maintenance Easement, to-wit:
WIIEREAS, the County is desirous of obtaining a perpetual easement, over, under and
across the above-described property for the purpose of locating, constructing, reconstructing,
repairing, and maintaining, highway construction embankment and excavation slopes made
necessary by the construction of a County Highway.

NOW, THEREFORE, in consideration of ONE and NO/100 DOLLARS ($1.00) and other
valuable considerations, receipt of which is hereby 'acknowledged, and in consideration of the
Covenants hereinafter expressed, there being no further consideration than is herein specified, it -
is agreed by the County and the Grantors, as follows:
TEE COUNTY OF MAR1COPA AGREES:
A. To use the above described land for the general welfare and benefit of the public.
B. To perform all the road/bridge constru_ction work for the construction and maintenance of
the County highway including the maintenance of the aforesaid slope easement without
cost to the Grantors.
C. To perform all said improvement work in a workmanlike manner without damage to the
adjacent property.
D. To pay the Grantor the sum of ONE and NO/100 DOLLARS ($1.00), as payment in full
for the right-of-way described herein.
E. That no costs relating to construction of roadway improvements on project TT0248 Deer
Valley Road Bridge will be charged to the Grantor.
TRW, GRANTOR AGREES:
1, To grant, and do hereby grant, to the County, its successors or assigns, the above
described perpetual easement for the purposes described herein.
2. To accept the sum of ONE and NO/100 DOLLARS ($1.00), as payment in full for the
right-of-way described herein_
3. That the County, or its agents, are hereby granted the right to enter upon the remaining
property of the Grantor for the purpose of accomplishing B and C above.
4_ That, upon the Grantor's signing of This easement, the County shall have immediate use of
the above described land.
