AMENDMENT No. 2 to NON-EXCLUSIVE LICENSE AGREEMENT
For AIR QUALITY MONITORS
At WELL SITE 230
This Amendment No. 2 ("Amendment") to that certain Non-Exclusive License Agreement for Air
Quality Monitors at Well Site 230 is entered into by and between the City of Phoenix, a municipal
corporation ("City") and Maricopa County, a political subdivision of the State of Arizona
("County").
RECITALS
A. City and County entered into that certain Non-Exclusive License Agreement No. 131583
(P-50245) dated June 22, 2011 and subsequently amended by the First Amendment on
November 10, 2016, ("License Agreement"), whereby County was granted non-exclusive
access by City, for an initial term of five (5) years, at Well Site 230 located at 5712 E.
Thunderbird Road, Phoenix, AZ, (the "Site").
B. City and County desire to exercise the second of five one-year term extensions and amend
the License Agreement as hereinafter provided.
AGREEMENTS
NOW, THEREFORE, the parties agree as follows:
1. The Recitals are incorporated herein by this reference.
2. The term of the License Agreement is hereby extended for one (1) year commencing on
June 21, 2017 through June 20, 2018. This Amendment is subject to the provisions of
A.R.S. §38-511, the provisions of which are incorporated herein by this reference.
3. This Amendment may be executed in any number of identical counterparts all of which,
when taken together, will constitute one and the same instrument. Delivery of this
Amendment may be accomplished by electronic transmission of an executed counterpart
of this Amendment. Signatures thus transmitted will be as valid as manual signatures for
all purposes.
4. Except as specifically amended herein, all other terms and conditions of the License
Agreement shall remain in full force and effect. In the event of any conflict between the
terms of this Amendment and the terms and provisions of the License Agreement, the terms
and provisions of this Amendment will supersede control.
